鋒龍股份(002931.SZ)：控股股東將變更為頂度雲享、實控人將變更為陳向宏 明起復牌
格隆匯2月5日丨鋒龍股份(002931.SZ)公佈，2024年2月5日，公司控股股東紹興誠鋒實業有限公司(簡稱“誠鋒實業”)及其一致行動人董劍剛、紹興上虞威龍科技有限公司(簡稱“威龍科技”)、厲彩霞與浙江頂度雲享旅遊有限公司(簡稱“頂度雲享”)、陳向宏、桐鄉欣享企業管理合夥企業(有限合夥)(簡稱“桐鄉欣享”)簽署協議，約定誠鋒實業向頂度雲享、陳向宏及桐鄉欣享協議轉讓上市公司合計61,411,347股股份及其對應的全部權益，占上市公司截至2024年1月29日總股本的29.99%；誠鋒實業向杭州金蟾蜍投資管理有限公司管理的金蟾蜍十一號私募證券投資基金(以下簡稱“金蟾蜍基金”)、杭州優益增投資管理有限公司管理的優益增行業優選三號私募證券投資基金(以下簡稱“優益增基金”)合計協議轉讓上市公司21,183,474股股份(佔公司總股本的10.34%)，金蟾蜍基金、優益增基金與頂度雲享及其一致行動人無關聯關係或一致行動關係。(以上合稱“本次股份轉讓”)
本次股份轉讓完成後，頂度雲享向上市公司除頂度雲享及其一致行動人以外的全體股東發出部分要約收購，誠鋒實業及其一致行動人董劍剛、威龍科技、厲彩霞承諾以全部非限售股份接受預受要約(以下簡稱“本次要約收購”)並同時承諾自本次協議轉讓交割日至頂度雲享通過要約收購取得的上市公司23,322,552股股份(占上市公司總股本11.39%)在中登公司完成過户登記之日(以下簡稱“要約收購完成日”)，誠鋒實業、董劍剛及一致行動人威龍科技、厲彩霞放棄其合計持有的上市公司23,322,552股股份(占上市公司總股本11.39%)的表決權且前述放棄行使的表決權在要約收購完成日前始終不恢復。
上述協議轉讓交割及表決權放棄完成後，頂度雲享將成為上市公司控股股東，陳向宏將成為上市公司實際控制人。
公司股票(證券簡稱：鋒龍股份，證券代碼：002931)及可轉換公司債券(債券代碼：128143，債券簡稱：鋒龍轉債)自2024年2月6日(星期二)開市起復牌，可轉換公司債券於同日恢復轉股。
