烯石電車新材料(06128.HK)擬根據一般授權發行新股份
格隆匯11月28日丨烯石電車新材料(06128.HK)發佈公吿，2023年11月27日，公司與認購人I(Tycoon Partner Holdings Limited，由吳文杯及沈陶瑜全資實益擁有)訂立認購協議I，據此，公司已有條件同意按總金額4050萬港元的認購價(相當於每股認購股份II為0.405港元，較11月27日收市價0.4港元溢價約1.25%)配發及發行合共1億股認購股份。認購股份I佔公司現有已發行股本約12.68%；及經配發及發行認購股份I而擴大的已發行股本約11.25%。總金額4050萬港元的認購價I將由認購人I於交割I時通過抵銷本金額4050萬港元的承兑票據向公司結清。
同日，公司與認購人II(Chen Stephen Hing Ming)訂立認購協議II，據此，公司已有條件同意按總金額323.7萬港元的認購價II(相當於每股認購股份II約為0.405港元，較11月27日收市價每股股份0.4港元溢價約1.25%)配發及發行合共800萬股認購股份II。認購股份II佔公司現有已發行股本約1.01%；及經配發及發行認購股份II而擴大的已發行股本約1.00%。總金額323.7萬港元的認購價II將由認購人II於交割II時向公司結清，按1.00美元兑7.80港元的協定匯率全額抵銷公司欠付認購人II的貸款的未清償總額41.5萬美元。
同日，公司與認購人III(Redchip Companies Inc.，由Dave Gentry先生最終擁有)訂立認購協議III，據此，公司已有條件同意按總金額58.5萬港元的認購價III(相當於每股認購股份III約為0.418港元，較11月27日收市價每股股份0.4港元溢價約4.5%)配發及發行合共140萬股認購股份III。認購股份III佔公司現有已發行股本約0.18%；及經配發及發行認購股份III而擴大的已發行股本約0.18%。總金額58.5萬港元的認購價III將由認購人III於交割III時向公司結清，按1.00美元兑7.80港元的協定匯率全額抵銷未清償費用7.5萬美元，而公司欠付認購人III的所有其他債務(如有)亦應抵銷，包括但不限於根據投資者關係協議或該協議項下認購人III對公司的任何先前申索。認購股份I、認購股份II及認購股份III將根據一般授權配發及發行，而該授權自獲授以來未曾使用。
