黃河實業(00318.HK)擬562.7萬港元收購Claman Global約4.5％的股權
格隆匯10月31日丨黃河實業(00318.HK)公吿，於2023年10月31日，買方VG Investment Assets Holdings Limited(公司的全資子公司)與賣方Kingston Investment Assets Limited訂立股權買賣協議，據此買方有條件同意收購而賣方有條件同意出售Claman Global Limited約4.5％的股權，代價為562.7萬港元，將根據一般授權以配發及發行23,252,466股代價股份入賬列作繳足。公司目前持有目標公司約50.3％的股權。完成後，公司將持有目標公司約54.8％的股權。
目標公司為於英屬處女羣島註冊成立有限公司。目標公司是本公司附屬公司，以及其集團為先進創新科技的市場領導者，擁有強大的科技，科研及開發能力。目標公司集團的產品和服務包括營運應用於商貿、大型賽事、虛擬活動和電子商務的電子管理和付款處理的多功能雲端平台的業務。
公司致力尋求有機業務增長和投資機會，以期增加回報，特別是在集團的核心科技業務重點上，這涉及將技術與業務流程相結合。特別是，公司持續的戰略是在金融科技、虛擬科技和遠端業務方面，開發和加強科技和產品創新。
