新耀萊(00970.HK)獲施清流折讓約10.0%提收購要約
格隆匯10月5日丨新耀萊(00970.HK)公吿，於2023年9月28日，要約人施清流先生通知公司表示彼有確實意圖通過申萬宏源作出要約，以(1)收購要約人及要約人一致行動人士尚未擁有的所有股份，要約價為每股要約股份0.9港元，較於最後交易日收市價每股1.00港元折讓約10.0%；(2)收購所有未轉換可換股債券；及(3)註銷所有未行使股份期權。要約人擬於要約截止後維持公司的上市地位。
要約人施先生，銅紫荊星章，太平紳士為資深商人，現為中國普甜食品控股有限公司(股份代號：1699)、中國天化工集團有限公司(股份代號：362)、聯洋智能控股有限公司(股份代號：1561)及公司的股東，於各公司持股逾5%，根據證券及期貨條例的有關條文須予以披露。此外，施先生現為隆誠國際(集團)有限公司(一間主要從事再生塑料製品貿易的公司)的董事長、中國人民政治協商會議全國委員會委員及香港福建社團聯會主席。另外，施先生於金融及股票投資方面經驗豐富，並持有一個多元化的個人投資組合。施先生自2020年12月16日以來一直為公司的投資者，但自2020年中旬起公司股價長期下行，最近更於其最新的年度業績中錄得自2017年以來首次淨虧損。施先生自2021年三月以來一直為主要股東，對於目前的管理表現感到失望，故儘管在汽車代理業務及高檔消費品貿易領域不具直接經驗，仍決定以尋求控股股權的方式對公司的業務作進一步投資，務求在加強拓寬其投資範圍的同時，利用其業務網絡挖掘改革公司的潛力。
施先生對公司的未來前景感到樂觀，而作出要約印證了施先生對公司的信心及承諾。發起要約乃旨在通過由施先生作出要約而提高施先生(連同要約人一致行動人士)於公司的股權。倘若要約成為無條件，則施先生將成為公司的控股股東(連同要約人一致行動人士)，讓施先生可發揮帶頭角色，引領集團日後發展，從而為股東創造更豐厚的長期價值。
要約人擬根據要約收購公司大多數權益。要約人的意向為維持集團現時的主要業務，同時於要約完成後，要約人將針對集團現時的主要業務及財務狀況進行審視，目的在於制訂業務計劃及策略以實現集團未來業務發展。為此，要約人可能會物色商機及考慮是否適合進行任何資產出售、資產收購、業務整頓、退資業務、集資、業務重組及╱或業務多元化發展，藉以提升集團的長期增長潛力。若落實該等公司行動，公司將依照上市規則的規定作出進一步公佈。
