北斗星通(002151.SZ)：擬以現金方式向華瑞智聯出售北斗智聯15%的股權 剝離汽車電子業務
格隆匯9月20日丨北斗星通(002151.SZ)公佈，公司擬進行重大資產出售事項。公司旗下全資子公司北斗星通(重慶)汽車電子有限公司(以下簡稱"重慶北斗")擬以現金方式向北京華瑞世紀智聯科技有限公司(以下簡稱"華瑞智聯")出售北斗星通智聯科技有限責任公司(以下簡稱"北斗智聯")15%的股權，交易價格為人民幣25,290.00萬元。
本次交易若能順利完成，公司通過重慶北斗持有北斗智聯的股權由現有的 33.21%下降到 18.21%，北斗智聯不再納入上市公司合併報表範圍。
北斗智聯主要負責公司汽車電子業務板塊。目前，全球汽車電子業務競爭激烈，博世、大陸、電裝、德爾福(現已被博格華納收購)等國際汽車零部件巨頭因產業起步時間早，已形成了豐富的產品結構。我國汽車電子市場在起步階段主要被國際巨頭控制，國內在競爭中處於相對弱勢的地位。隨着上市公司汽車電子業務的不斷開拓，該業務板塊面臨着國際巨頭及國內其他領先廠商的激烈競爭。由於汽車電子行業屬於資金密集型行業，不論是廠房建設、設備購置等產線建設改造，還是產品研發升級等環節，均需要持續投入大量的資金。上市公司汽車電子業務進一步發展離不開鉅額資金的投入。
在本次資產重組完成後，公司將剝離汽車電子業務。上市公司沿着市場需求、技術融合、商業模式"三軸"積極精準佈局"物聯網芯片、下一代PNT芯片、雲服務、天線、慣性"業務，以"雲+芯/端"為基礎，提供"高精度位置數據服務+高性能自主定位芯片/端+各類融合技術等"的整體解決方案，着力構建智能時代的"位置數字底座"。公司將利用重組後獲得的資本加大主業投入和產業升級，進一步做強做大公司核心主業。同時，本次重組後，公司仍持有標的公司18.21%股權，仍將在業務協同賦能等方面助力標的資產發展，分享標的資產在汽車電子領域的發展收益。
