多牛科技(01961.HK)擬1.26億元收購Infinities Wonder全部股權
格隆匯9月11日丨多牛科技(01961.HK)發佈公吿，2023年9月8日，公司與Infinities B &M Technology Limited(作為賣方)訂立購股協議，據此，賣方有條件同意出售目標公司(即Infinities Wonder Limited)全部已發行股本，代價約人民幣1.26億元。代價將透過根據公司將於股東特別大會上尋求的特別授權按發行價配發及發行代價股份的方式償付。
根據購股協議，代價約人民幣1.26億元，將透過向賣方配發及發行9630萬股代價股份的方式償付。代價股份的發行價為每股1.4港元，價格與9月8日(即購股協議日期)收市價1.4港元相同。代價股份相當於公司現有已發行股本約15.71%及經配發及發行代價股份擴大後已發行股本約13.58%。
目標公司為一間於英屬處女羣島註冊成立的有限公司。其為一間投資控股公司。重組後，目標公司將間接持有北京玩德(一間根據中國法律成立的有限責任公司)的60%股權。自2020年註冊成立以來，北京玩德主要從事手機遊戲產品開發，持有營運手機遊戲業務必需的若干牌照及許可證，如增值電信業務經營許可證。
北京玩德自2020年開業，儘管營運年期相對較短，惟北京玩德於2021年與美國一間知名電視遊戲廠商訂立一份產品開發協議，製作一個全新手機遊戲。是次合作備受注目，乃因其將北京玩德的模擬遊戲創作經驗融合美國公司的廣泛市場滲透率及於遊戲方面的昭着信譽。此手機遊戲預計將於2024年推出。由於美國公司聲名顯赫，預期遊戲推出後將吸引大量目光及收入。北京玩德亦有望藉此提升知名度，從而擴闊客户羣及收益。按照協議北京玩德亦獲得超出開發款項的財務利潤。北京玩德將受惠於按遊戲收益計算的紅利。因此，董事相信，此協議讓北京玩德享有擴展潛力及利潤增加，標誌其朝着正面方向發展。
