馬鞍山鋼鐵股份(00323.HK)：馬鋼交材與8名戰略投資者及4家員工持股平台簽訂增資協議
格隆匯9月6日丨馬鞍山鋼鐵股份(00323.HK)公吿，近日，馬鋼交材在上海聯合產權交易所完成摘牌，確定引入寶武綠碳、北京中鐵科新材料技術有限公司、安徽江東產業投資集團有限公司、湖北中金瑞為股權投資基金合夥企業(有限合夥)、東融壹號(珠海橫琴)股權投資合夥企業(有限合夥)、大慧智盛(青島)私募股權投資基金合夥企業(有限合夥)、安徽國控十月新興產業股權投資合夥企業(有限合夥)、先進製造產業投資基金二期(有限合夥)等8名戰略投資者。
同時，馬鋼交材員工持股平台杭州飛廉輪企業管理合夥企業(有限合夥)、杭州神州輪企業管理合夥企業(有限合夥)、杭州瑤輪企業管理合夥企業(有限合夥)、杭州烏輪企業管理合夥企業(有限合夥)按照同股同價的原則同步認購新增註冊資本。
2023年9月6日，公司、馬鋼交材與8名戰略投資者及4家員工持股平台在安徽省馬鞍山市簽訂增資協議。
8名戰略投資者合計現金出資人民幣78,600萬元，認購新增註冊資本人民幣52,924.6803萬元，其餘人民幣25,675.3197萬元計入資本公積，合計持股比例24.9970%。其中，寶武綠碳出資人民幣20,000萬元，認購新增註冊資本人民幣13,466.8398萬元，持股比例6.3606%。
4家員工持股平台合計現金出資人民幣15,147.004萬元，認購新增註冊資本人民幣10,199.1138萬元，其餘人民幣4,947.8902萬元計入資本公積，合計持股比例人民幣4.8172%。
增資完成後，公司持有馬鋼交材股權的比例由100%降至70.1858%，馬鋼交材的註冊資本為人民幣211,723.7941萬元。
馬鋼交材通過本次混合所有制改革，實現了股權多元化，健全了該公司的法人治理，股東、管理團隊、核心員工的利益與該公司長期利益緊密結合，將進一步增強該公司內生髮展動力和企業活力。同時，公司作為馬鋼交材的控股股東，繼續將其納入財務報表合併範圍，不會對公司財務狀況及生產經營造成不利影響。
