嘉興燃氣(09908.HK)擬收購鹽城星洲佳源房地產開發額外10%股權
格隆匯8月18日丨嘉興燃氣(09908.HK)公吿，於2023年8月18日，(其中包括)買方(一家公司直接全資附屬公司)與賣方新加坡城市經濟發展有限公司訂立股權轉讓協議，據此，買方已同意有條件地向賣方收購目標公司鹽城星洲佳源房地產開發有限公司額外10%股權，代價為人民幣3268.9萬元，由佳源申城欠付買方以此為限相等數額的債務抵銷，監於賣方亦欠付佳源申城一家聯營公司債務，賣方已同意代佳源申城結清該等數額的債務。
集團根據市場行情探索各種投資項目的機會以擴展投資範圍，旨在提高股東利益。儘管中國市場於2022年走弱，中國政府已出台一系列政策以保持房地產市場穩定，並重申房地產作為中國主要產業的地位。根據2022年11月刊發的《中國人民銀行中國銀行保險監督管理委員會關於做好當前金融支持房地產市場平穩健康發展工作的通知》，中國政府將保持房地產融資合理適度以支持房地產市場健康發展。
此外，基於2022年12月召開的2022中央經濟工作會議，中國政府已明確房地產產業為國民經濟支柱產業，且中國政府將從供給端及需求端作出部署，以推動房地產企業向行業新模式轉型。2023年7月24日召開的中央政治局會議繼續強調要適應我國房地產市場供求關係發生重大變化的新形勢，適時調整優化房地產政策，促進房地產市場平穩健康發展。
目標公司為位於江蘇省鹽城市關於一幅商住用地的房地產項目的開發商，總用地面積為130,827.0平方米，該房地產項目涉及21棟住宅樓宇(提供總計約1,792套住宅)及商業樓宇、商鋪、酒店的施工，總樓面面積約471,880.67平方米。於公吿日期，目標公司已開始施工興建18棟住宅樓宇，並已於預售中售出744套住宅。監於中國政府對房地產市場的大力支持以及目標公司房地產項目的穩步進展，董事認為於目標公司的投資會為本集團帶來正面財務影響。
由於集團亦已將向房地產開發商(包括目標公司)提供景觀建設服務作為其業務的一部分，董事相信收購事項與本集團的整體業務方向保持一致，且目標公司的房地產開發業務將與集團現有的市政建設業務產生協同作用。
