德視佳(01846.HK)：收購FREEVIS LASIK ZENTRUM MANNHEIM GMBH全部股本
格隆匯8月18日丨德視佳(01846.HK)發佈公吿，2023年8月17日，EuroEyes KG(由公司全資擁有)、FreeVis GmbH及Knorz教授訂立購股協議，據此，其中包括：(a)EuroEyes KG同意收購而Knorz GmbH同意出售FreeVis GmbH全部股權；及(b)EuroEyes KG同意向Knorz教授提供擔保，確保FreeVis GmbH按時妥為履行其有關PMK收購事項購買價的付款責任，擔保金額不超過220.84萬歐元。根據購股協議的條款及條件，總代價須以(a)完成代價，而完成代價須作代價調整(如有)；(b)盈利支付代價方式支付。總代價的最高金額為518.07萬歐元。FreeVis完成後，FreeVis GmbH將成為公司的間接全資附屬公司，連同PMK將併入集團的業務。
2023年8月17日，FreeVis GmbH與Knorz教授訂立PMK購買協議，據此，FreeVis GmbH同意收購而Knorz教授同意出售PMK，代價最多為736.12萬歐元。就PMK收購事項而言，2023年8月17日，EuroEyes KG： (a)與FreeVis GmbH訂立貸款協議，據此，EuroEyes KG將向FreeVis GmbH提供金額為515.29萬歐元年利率為3%的計息貸款，惟須受貸款協議的條款及條件所規限，其將由FreeVis GmbH於完成後五個營業日內用於部分結算有關PMK收購事項的購買價，須按要求償還；及(b)訂立以Knorz教授為受益人的擔保，據此，EuroEyes KG已承諾就FreeVis GmbH妥為履行有關PMK收購事項部分購買價的付款責任提供最高金額為220.84萬歐元的擔保。
FreeVis LASIK Zentrum Mannheim GmbH(“FreeVis GmbH”)於德國註冊成立，於德國曼海姆經營一間眼科診所，專門從事屈光性激光手術，於本公吿日期由Knorz GmbH全資擁有。Augenärztliche Privatpraxis Prof. Dr. Michael C. Knorz(“PMK”)為一間德國眼科私人執業公司，專門從事晶體置換手術，於本公吿日期由Knorz教授以獨資企業方式全資擁有。
