嘉寓股份(300117.SZ)：日常經營重大合同出現重大不確定性
格隆匯8月16日丨嘉寓股份(300117.SZ)公佈，2021年5月，公司子公司遼寧嘉寓建築節能科技有限公司與朝陽嘉寓潔能科技有限公司簽署了《遼寧朝陽嘉寓龍城75MW風電場項目PC總承包合同(標段一)》及《遼寧朝陽嘉寓龍城75MW風電場項目PC總承包合同(標段二)》，由遼寧節能承接上述合計150MW風電場項目的PC總承包業務，合同金額合計為人民幣100,500萬元。
上述總承包合同簽訂後，遼寧節能迅速組織項目人員進場施工。截至公吿之日，項目已經完成綜合樓、生產樓、附屬用房的相關工作，主要設備大部分已到貨，風場施工在陸續推進。由於項目涉及的風機機型變更、線路變更等原因，目前項目尚未完成。遼寧節能於近日收到朝陽潔能發出的關於解除總承包合同的通知書，朝陽潔能認為遼寧節能在簽署合同後未能根據合同約定在2022年5月30日完成全容量併網並存在其他違約行為，要求根據總承包合同的規定解除總承包合同。朝陽潔能同時提起訴訟，並要求遼寧節能根據訴訟請求進行賠償。
朝陽潔能在總承包合同簽訂之時系公司控股股東的全資子公司。根據控股股東的説明，基於商業安排，控股股東已於2022年7月將該項目公司交割至華能新能源，遼寧節能解除總承包合同違反了華能新能源對控股股東的承諾。公司目前正在與朝陽潔能、華能新能源進一步溝通相關問題。如果後續公司與華能新能源、遼寧節能未能就項目總承包合同後續履行達成一致意見，項目總承包合同存在被終止等重大不確定情形。
本項目合同金額合計為人民幣100,500萬元。根據項目進展和完工情況，截至2023年7月31日，本項目累計應確認的收入金額為56,777.81萬元。如果目總承包合同被終止，總承包合同餘下收入將可能無法確認，可能會對公司本年度及未來各會計年度財務狀況、經營成果產生一定影響，減少公司經營收入，並可能存在訴訟、支付違約金等不利影響。
