KEEP(03650.HK)預計7月12日上市 引入奮達科技等多家基石
格隆匯6月30日丨KEEP(03650.HK)發佈公吿，公司擬全球發售1083.86萬股，其中香港發售股份108.39萬股，國際發售股份975.47萬股，另有15%超額配股權；2023年6月30日至7月5日招股，預期定價日為7月5日；發售價為每股發售股份28.92-61.46港元，每手買賣單位100股，入場費約6208港元；中金公司為獨家保薦人；預期股份將於2023年7月12日於聯交所主板掛牌上市。
公司為一個不斷髮展並以交付為導向的平台，為用户提供全面的健身解決方案，以幫助用户實現其健身目標。於往績記錄期間，公司的大部分收入產生自銷售自有品牌運動產品。公司通過人工智能輔助的個性化訓練計劃(涵蓋互動直播課及錄播課)，提供廣泛及專業的健身內容，可根據用户的運動水平、健身目標、日常鍛鍊模式及飲食，動態調整課程內容及鍛鍊強度。公司的內容輔之以各種智能健身設備、健身裝備、服飾及食品，使公司能夠無縫連接物理與數字領域，創造沉浸式、一站式的健身體驗。
公司的Keep品牌具有很強的影響力，已成為追求健康精神和體魄的代名詞。按於2022年的月活躍用户及用户完成的鍛鍊次數計算，Keep是中國最大的健身平台。中國健身人羣中77.5%的人瞭解Keep移動應用程序。公司努力讓更多人的健身變得更簡單，鼓勵數千萬人成為公司的用户，或稱Keeper，激勵他們在公司社區中培養歸屬感。於2019年、2020年、2021年及2022年，公司平台的平均月活躍用户分別為2180萬、2970萬、3440萬及3640萬。於2022年，公司的月活躍用户在公司平台總共記錄約21億次鍛鍊次數。依託公司極具吸引力的產品及強大品牌，公司已能夠迅速擴大用户羣並鞏固市場領先地位。
公司已訂立基石投資協議，據此，基石投資者已同意在若干條件規限下按發售價認購或促使其指定實體(包括合資格境內機構投資者或合資格境內有限合夥人)認購若干數目發售股份合共約979萬美元(約7654萬港元)。基石投資者包括奮達科技(002681.SZ)、福清勝德卡路里投資有限公司、以及廈門羣鑫機械工業有限公司。
公司預計，假設發售價為每股股份45.19港元(即發售價範圍的中位數)及假設超額配股權並無獲行使，公司將收取所得款項淨額約3.662億港元；或假設超額配股權獲悉數行使，則為4.372億港元。公司擬將本次發售所得款項淨額約35%(假設超額配股權並未獲行使)預計在未來三年內用於研發，以提升公司的技術能力並推動產品創新；約30%(假設超額配股權並未獲行使)預計在未來三年內用於公司的健身內容開發及多元化；約25%(假設超額配股權並未獲行使)預計在未來三年內用於投入品牌宣傳及推廣；以及所得款項淨額約10%(假設超額配股權並未獲行使)預計用於一般企業用途及營運資金需要。
