華潤置地(01109.HK)間接全資附屬公司潤投諮詢,與廣利升實業、智鑫物業、合營企業、景祈投資及凱東集團就建議交易及後續合營企業的管理訂立補充合作協議。 合營企業(東莞市東潤房地產)爲於2021年8月根據合作協議註冊成立的非全資附屬公司,以開發項目,其負責拆除土地的建築物,其後向東莞市政府申請土地變更,涉及向東莞市政府相關部門重新登記該幅土地作住宅、辦公及商業用途。 根據補充合作協議,合營企業的註冊資本將增加至30億元人民幣(下同),其中潤投諮詢及景祈投資分別同意認購15.3億元及14.7億元,佔合營企業註冊資本的51%及49%。 合營企業分別由潤投諮詢、廣利升實業及智鑫物業擁有51%、29%及20%股權。建議交易將不會導致潤投諮詢於合營企業中持有的控制權或權益減少。緊隨完成後,合營企業將成爲潤投諮詢與景祈投資分別持有51%及49%股權的合營企業。
