CWT INT'L(00521.HK)：4月3日停牌，以待刊發2022年全年業績
格隆匯4月3日丨CWT INT'L(00521.HK)董事會宣佈，公司未能於2023年3月31日刊發集團經審計的截至2022年12月31日止年度的年度業績，原因由於董事會已收到公司外聘核數師畢馬威會計師事務所發出的函件。
根據函件，核數師考慮了Straits Financial Group Pte. Ltd.(為公司的間接附屬公司及主要從事的金融服務分部)的數間附屬公司進行的某些商品交易，按總額計算為16億美元的商業性質不清晰，核數師認為目前無法就2022年全年業績發表任何意見，直至公司能夠解決核數師就交易提出的問題。此外，核數師建議由外部獨立方對交易進行調查。
公司及相關附屬公司在核數師審核過程中一直與核數師緊密合作，以提供所有資料及文件，並不時按核數師的要求參與討論。就交易而言，公司已接受核數師建議採用淨額基準而非總額基準。公司將繼續積極配合核數師履行其審計程序，包括與外部獨立方聯絡以儘快展開調查。
同時，公司將根據審核發現的問題，重新評估相關業務的風險，進一步加強內部風險控制措施，避免類似事件再次發生。
請知悉，2022年全年業績的預計公佈日期需與核數師進一步確定，及有待調查結果，並將會在適當時候作出公佈。
根據上市規則第13.49(1)條，公司須在不遲於財政年度結束後3個月內(即2023年3月31日或之前)發表2022年全年業績。延遲刊發2022年全年業績不符合上市規則第13.49(1)條的規定。
上市規則第13.49(3)條規定，公司如未能按時刊發2022年全年業績，則必須公佈根據尚未與核數師一致協定同意的財務業績所編制的業績(如具備該等資料)。董事會經審慎周詳考慮後認為，公司此階段不宜刊發集團截至2022年12月31日止年度的未經審核管理帳目，因為有關管理帳目可能無法準確反映集團的財務表現及狀況，且刊發未經審核管理帳目可能造成混淆，並可能誤導公司股東及潛在投資者。
董事會謹此確認，公司如常營運而其業務未受到重大影響。
根據上市規則第13.46(1)(a)條的規定，公司須不遲於財政年度結束後4個月內(即2023年4月30日或之前)向股東寄發其截至2022年12月31日止年度年報。由於公司將延遲刊發全年業績，預期可能亦會延遲寄發2022年年報。可能延遲寄發2022年年報一旦落實，將不符合上市規則第13.46(1)(a)條的規定。公司將於適當時候另行刊發公吿以知會股東有關寄發2022年年報的日期。
謹此提述公司於2023年3月17日及2023年3月29日作出的公吿，有關於2023年3月31日就(其中包括)考慮及批准集團2022年全年業績公吿及其刊發，並(如適用)考慮建議派發末期股息而召開的董事會會議。由於上文所述的延遲刊發2022年全年業績，董事會會議將會延期，公司將於適當時候刊發進一步公吿，以通知股東有關董事會會議的日期。
應公司要求，公司股份已由2023年4月3日上午九時正起於香港聯合交易所有限公司暫停買賣，以待刊發2022年全年業績。
