僑雄國際(00381.HK)擬"5合1"進行股份合併，擬4575萬港元收購江西九愛食品49%股權
格隆匯3月10日丨僑雄國際(00381.HK)公佈，董事會已議決建議進行股份合併，基準為每5股每股面值0.01港元之已發行及未發行現有股份合併為1股每股面值0.05港元之合併股份，原因為股份於過去三個月以低於0.10港元之價格買賣(根據股份於聯交所所報之每股收市價計算)。公司將向聯交所申請批准合併股份上市及買賣。
於2023年3月10日，買方(公司之全資附屬公司)與賣方訂立買賣協議，據此，買方已有條件同意收購，而賣方已有條件同意出售銷售權益，相當於目標公司江西九愛食品股權總額之49%，代價為4575萬港元，將以下列方式支付：(i)1525萬港元透過買方促使公司於完成後按發行價每股代價股份0.305港元(相當於每股現有股份0.061港元，並就建議股份合併之影響作出調整)向賣方(或彼之代名人)配發及發行5000萬股入賬列作繳足之合併股份(相當於2.5億股現有股份，並就建議股份合併之影響作出調整)作為代價股份；及(ii)3050萬港元透過買方促使公司於完成後按換股價每股換股股份0.305港元(相當於每股現有股份0.061港元，並就建議股份合併之影響作出調整)發行本金額為3050萬港元之可換股債券。
目標公司主要從事食品及飲料研發、生產、營銷及銷售食品及飲料產品。目標公司亦為其他飲料公司提供軟飲料加工服務。
目標公司於江西省撫州市南豐縣擁有總面積約340畝及建築面積約147,000平方米的生產基地，設有生產廠房及設備。目標公司為福州市食品及飲料產品加工龍頭企業之一。
目標公司已於2022年收購一個汽水商標"愛之戀"以發展其食品及飲料業務。"愛之戀"為知名軟飲料品牌，於中國從事食品及飲料市場超過十年，且已證明可吸引所有年齡組別的消費者眼球。目標公司擁有其自有生產廠房及設備，擁有先進的每小時24,000瓶全自動聚酯無菌冷灌生產線及每小時6,000包一公升利樂鑽石包的無菌冷灌生產線。目標公司亦擁有七條三片罐生產線。
目標公司目前以"愛之戀"品牌擁有五條產品線，即(i)南豐蜜桔果醋、南豐蜜桔汁、植物蛋白、發酵果汁及穀物蛋白。"愛之戀"品牌目前以中國東南地區的三四線城市(包括但不限於福建、江西及江蘇)所有年齡組別的普羅大眾消費市場為目標。目標公司主要向食品及飲料經銷商出售其產品以於不同地點經銷，包括但不限於便利店、超級市場及餐廳。自開展業務以來，目標公司一直與經銷商合作，並已累積超過50個經銷商網絡。除銷售自家飲料產品外，目標公司已向其他飲料公司提供軟飲料產品加工服務。
