穗恒運Ａ(000531.SZ)：擬向廣州恒運新能源增資設立控股公司投資懷集恒豐70MW農光互補光伏發電項目
格隆匯3月9日丨穗恒運Ａ(000531.SZ)公佈，2023年3月9日，公司第九屆董事會第二十七次會議審議通過了《關於向全資子公司廣州恒運新能源有限公司增資設立控股公司投資懷集恒豐70MW農光互補光伏發電項目的議案》。同意：
廣州恒運新能源有限公司與懷集縣祥盛物資貿易有限公司共同出資設立項目公司——廣東懷集恒豐新能源有限公司(暫定名，最終以登記機關核定為準)，投資建設、運營懷集恒豐70MW農光互補光伏發電項目。
該項目規劃建設規模為70.16MW，靜態投資30315.13萬元，動態投資30768.45萬元，工程總投資30978.92萬元人民幣。項目公司註冊資本按工程總投資的30%計，為9294萬元。其中廣州恒運新能源有限公司認繳出資8829萬元，持股95%，懷集縣祥盛物資貿易有限公司認繳出資465萬元，持股5%。
在項目建成投產前，項目公司不進行股權收益分配；在項目建成投產後，由廣州恒運新能源有限公司負責項目公司運營管理，懷集縣祥盛物資貿易有限公司不參與項目公司運營管理。對於項目公司的利潤分配，在按章程規定彌補虧損和提取公積金後，懷集縣祥盛物資貿易有限公司每年從項目公司累計可分配利潤中按其實際出資金額的8%獲得固定收益；若當年項目公司累計可分配利潤低於祥盛物資貿易有限公司實際出資金額的8%，則先按實際累計可分配利潤分給祥盛物資貿易有限公司，剩餘不足該公司8%固定收益的部分轉由從下一年度項目公司實現可分配利潤中優先補足。
由公司向廣州恒運新能源有限公司注資人民幣8829萬元，用於懷集恒豐70MW農光互補光伏發電項目的註冊資本金。
授權公司經營班子代表公司董事會，根據法規按照程序辦理本次向全資子公司廣州恒運新能源有限公司增資設立控股項目公司投資懷集恒豐70MW農光互補光伏發電項目有關事宜。包括但不限於簽署各種協議文件、證照辦理、落實投入資金並控制建設成本等。
