陸家嘴(600663.SH)：擬獲注入位於陸家嘴金融貿易區和前灘國際商務區的優質資產、明起復牌
格隆匯12月15日丨陸家嘴(600663.SH)公佈，公司擬以發行股份方式購買陸家嘴集團持有的昌邑公司100%股權、東袤公司30%股權，擬以支付現金方式購買前灘投資持有的耀龍公司60%股權、企榮公司100%股權。此次交易前，公司已持有東袤公司30%股權，此次交易完成後，公司持有昌邑公司100%股權、東袤公司60%股權、耀龍公司60%股權、企榮公司100%股權，昌邑公司、企榮公司將成為公司全資子公司，東袤公司、耀龍公司將成為公司的控股子公司。
截至摘要簽署日，鑑於與此次交易相關的審計和評估工作尚未完成，標的資產的最終交易價格及發行股份數量均尚未確定。此次交易標的資產的交易價格將以具有相關業務資質的資產評估機構出具的評估報吿所載明的、且經國有資產監督管理部門備案的評估值為依據，由交易各方協商確定，並將在重組報吿書中予以披露。
公司擬向不超過35名符合條件的特定投資者，以非公開發行股份的方式募集配套資金。此次募集配套資金的具體金額將在重組報吿書中予以確定。擬發行的股份數量不超過此次重組前公司總股本的30%，募集配套資金總額不超過以發行股份方式購買資產交易價格的100%，最終發行數量以中國證監會核准的發行數量為準。
此次發行股份募集配套資金扣除發行費用後擬用於支付此次交易中的現金對價，及補充公司和標的資產流動資金、償還債務。其中用於補充流動資金、償還債務的比例不超過募集配套資金總額的10%。在此次發行股份募集配套資金到位之前，公司可根據實際情況以自籌資金先行支付，待募集資金到位後再予以置換。此次發行股份募集配套資金不用於拿地拍地、開發新樓盤。
此次交易前，公司持續以商業地產為核心，以商業運營為延伸，以金融服務為紐帶，構建起“商業地產+商業運營+金融服務”的發展格局。
通過此次交易，陸家嘴集團將位於陸家嘴金融貿易區和前灘國際商務區的優質資產注入公司，有利於公司更深度地參與陸家嘴金融城東擴及前灘國際商務區的開發建設和運營，更好地服務於浦東新區打造社會主義現代化建設引領區，更好地服務於上海社會主義現代化國際大都市建設；有利於公司做強做大主業、提高資產質量、優化財務結構、提升可持續發展能力。
根據相關規定，經公司向上海證券交易所申請，公司股票將於2022年12月16日開市起復牌。
