協鑫能科(002015.SZ)：擬4.48億元收購四川鋰珩所持斯諾威公司債權
格隆匯11月28日丨協鑫能科(002015.SZ)公佈，為完善公司移動能源產業佈局，保障電池包有效供給，儲備上游鋰資源。公司擬參與雅江縣斯諾威礦業發展有限公司簡稱“斯諾威公司”)破產重整案重整相關事項。
2022年11月18日，公司分別與全資子公司協鑫能科鋰電新能源有限公司(簡稱“協鑫鋰電”)、全資子公司四川協鑫能科智慧科技有限公司(簡稱“四川協鑫”)簽署了《債權轉讓協議》，債權人協鑫鋰電、四川協鑫將在四川省雅江縣人民法院(簡稱“雅江法院”)作出的《民事判決書》項下享有的全部權益，包括但不限於對斯諾威公司(債務人)的債權及其全部相關權利轉讓給公司。其中：協鑫鋰電轉讓斯諾威公司的債權金額約為人民幣2.76億元；四川協鑫轉讓斯諾威公司的債權金額約為人民幣2.38億元。上述二家全資子公司共計轉讓債權金額約為人民幣5.13億元。上述債權轉讓交易為公司與合併報表範圍內控股子公司之間的交易。
2022年11月18日，公司與參股企業四川珩鑫新能源技術中心(有限合夥)(簡稱“四川珩鑫”)的子公司四川鋰珩科技有限責任公司(簡稱“四川鋰珩”)簽署了《債權轉讓協議》，債權人四川鋰珩將在雅江法院作出的《民事判決書》項下享有的全部權益，包括但不限於對斯諾威公司(債務人)的債權及其全部相關權利(簡稱“標的債權”)轉讓給公司。四川鋰珩轉讓斯諾威公司的債權金額約為人民幣5.58億元，轉讓價格為人民幣4.48億元。
值得一提的是，至目前，公司參股企業四川珩鑫已收購成都川商興能股權投資基金中心(有限合夥)持有的斯諾威公司42.8571%股權，以及收購周大為持有的斯諾威公司2.8571%的股權，合計收購斯諾威公司45.7142%的股權。
公司表示，該次交易目的在於產業鏈資源整合，向移動能源上游原材料鋰礦及電池材料行業進行業務延伸，持續推進斯諾威礦業的後續破產重整程序。
