利福(01212.HK)通過私有化 有股東指啟德項目價值遭低估
利福國際(01212.HK)獲主席劉鑾鴻提出以每股現金註銷價5元將公司私有化,決議案於昨日(21日)在股東大會上以大比數通過,私有化協議於法院會議贊成票數達94.93%,反對票數達5.07%;於股東大會上的贊成票數達99.36%,反對票數達0.64%。
股份最後買賣日為12月6日,協議安排生效後,利福預料將於12月20日正式取消上市地位。
有出席股東特別大會的股東表示私有化作價太低,質疑公司旗下啟德項目快將完工時才進行私有化,做法不合理,又認為啟德區具發展潛力,今次私有化中該項目價值被低估。
另有股東指出獨立財務顧問英高所撰寫的報告只有列出永安(00289.HK)、恆基發展(00097.HK)及先施(00244.HK)三間可比較公司,但先施幾乎沒有持有物業,認為質疑報告內容是否具參考性。
