煜盛文化(01859.HK)：聯交所譴責公司及執行董事劉牧
格隆匯11月21日丨煜盛文化(01859.HK)發佈公吿，香港聯合交易所有限公司譴責：(1)該公司；(2)該公司執行董事劉牧先生；批評：(3)該公司前執行董事夏瑞先生；並指令：劉先生於90日內完成20小時關於監管及法律議題以及《上市規則》合規事宜的培訓，當中包括以下內容各至少3小時：(i)董事職責；(ii)《企業管治守則》；及(iii)《上市規則》第2.13條和第十四章的規定(培訓)；及夏先生日後若要再獲委任為聯交所上市公司或將於聯交所上市的公司的董事，先決條件是完成培訓。
於上市首日，該公司與尚乘簽訂了一份資產管理協議，將合共7,080萬美元存入投資組合賬户，投資年期為兩年，保證年化回報率為2%。如果提前取出全部或部分投資，將不能獲得該保證回報率。該公司向尚乘支付了相等於投資金額5%的預付款。資產管理協議下的投資金額全部用於認購由一家屬尚乘聯屬公司的私人離岸公司L.R.Capital Property Investment Limited所發行的5%承兑票據。
資產管理協議及承兑票據構成該公司的主要交易，須遵守《上市規則》第十四章的公吿、通函及股東批准規定。該公司直至2020年8月28日才就資產管理協議刊發公吿。該公司的招股章程中並未提及投資管理協議或承兑票據，其亦沒有就首次公開招股所得款項改為用於投資管理協議／承兑票據安排刊發任何公吿。
該公司於2021年6月24日宣佈已終止投資管理協議並贖回承兑票據下的所有投資金額。該公司沒有從投資管理協議或承兑票據中得到任何利息或回報，意味着該公司因簽訂投資管理協議／承兑票據安排而損失了支付予尚乘的5%費用(即354萬美元)。
劉先生代表該公司簽訂投資管理協議及承兑票據。雖然夏先生於2020年6月才加入董事會，但他參與了該公司的首次公開招股，並且知悉投資管理協議及承兑票據。
沒有證據顯示上述人士有考慮到以下方面：(i)投資管理協議及承兑票據可能涉及的《上市規則》規定，(ii)公司有意簽訂有關安排是否應在招股章程中披露，或(iii)該安排與該公司在招股章程中披露的所得款項用途是否一致。上市委員會無法接納該公司、劉先生及／或夏先生針對與尚乘簽訂投資管理協議／承兑票據的情況及背後的商業理由所作出書面及／或口頭的解釋及／或陳述。
上市委員會按其所收到的陳述而在未有進一步考慮投資管理協議／承兑票據安排是否屬實的情況下，裁定以下事項：(1)該公司違反《上市規則》第3A.23、14.34、14.38A及14.40條。該公司承認其投資管理協議／承兑票據未有遵守有關的公吿、通函及股東批准規定，亦未就此諮詢其合規顧問。(2)該公司沒有在其招股章程中披露其計劃簽訂投資管理協議／購入承兑票據，違反《上市規則》第2.13(2)條；又或該公司沒有按指引信GL86-16(第一部分)的規定披露其首次公開招股所得款項用途的變更。(3)該公司違反《上市規則》附錄十六第11(8)段。該公司承認其2020年度業績公吿、2020年報及2021年中期業績公吿中均未有表明首次公開招股所得款項用途有所變更。
