騰訊擬按每10股獲發1股美團B類普通股
騰訊控股(00700)公佈，於2022年啊11月16日，董事會決議將按合資格股東持有每 10股股份獲發1股美團B類普通股的基準，向於記錄日期名列公司股東名冊上的股東按彼等當時各自於公司的持股比例，以實物分派的方式宣派由公司透過Huai River及╱或TML間接持有的約約9.58億股美團B類普通股(假設自本公告日期至記錄日期已發行股份總數並無變化)的特別中期股息，該等美團股份數目將被捨去零碎部份下調至最接近的整數。
待分派的約9.58億股美團B類普通股相當於集團持有美團B類普通股約90.9% 及於2022年10月31日美團已發行股份總數約15.5%(按一股一票基準)。該集團目前記錄該等股份爲於聯營公司的投資。
爲釐定享有實物分派的權利，公司將於2023年1月9日(星期一)至2023年1月10日(星期二)(包括首尾兩天)暫停辦理股份過戶登記手續，在此期間股份過戶登記手續將不予辦理。享有實物分派權利的股份於聯交所的最後買賣日期預期爲2023年1月4日。釐定股東於實物分派的權利的記錄日期爲2023年1月10日(星期二)。 預期有關美團股份的股票將於2023年3月24日(星期五)或前後以平郵方式寄發至於記錄日期在公司股東名冊所示合資格股東各自的地址，風險由彼等自行承擔。
董事會認爲，實物分派符合公司及股東的利益。公司投資策略的其中一方面爲投資在某些行業處於發展階段的公司(投資公司可受益於長期資本以爲其發展及擴張提供資金);支持及分享投資公司的增長;並於公司判斷投資公司的財務實力、行業地位和投資回報已達到穩健水平時擇機退出投資。董事會相信，美團現已達致此情況，董事會因此認爲此乃直接向合資格股東轉讓由集團於美團持有的大部份權益的適當時間。
鑑於集團減少於美團的投資，公司執行董事兼總裁劉熾平已辭任其於美團擔任的非執行董事一職，自2022年11月16日起生效。
