得利斯(002330.SZ)：簽署四方《合作框架協議》 創新開展互聯網新零售業務
格隆匯11月7日丨得利斯(002330.SZ)公佈，近日，公司與杭州海先友電子商務有限責任公司(簡稱“海先友”)、煙台彥伯食品有限公司(簡稱“彥伯食品”)、海南齊鮮達投資合夥企業(簡稱“齊鮮達投資”)簽署了《合作框架協議》，各方充分發揮各自優勢，創新開展互聯網新零售業務。合作內容包括：
1、海先友、彥伯食品、齊鮮達投資三方向聚利食品投資，投資方式為現金加資源方式，投資估值為聚利食品註冊資本實繳價值，投資後聚利食品的股權比例如下：海先友擬佔聚利食品30%的股權，彥伯食品擬佔聚利食品30%的股權，齊鮮達投資擬佔聚利食品10%的股權，得利斯擬佔聚利食品30%的股權。
2、為匹配各方資源，快速發展，擬確定孵化新品牌名稱：齊鮮達。
3、聚利食品作為合作經營主體公司，應迅速搭建新媒體運營團隊，開展新零售銷售業務。
4、海先友、彥伯食品、齊鮮達投資利用自身在品牌孵化、新媒體運營以及生鮮產業供應鏈和電商平台直播帶貨的經驗和優勢，迅速參與並導入核心資源，協助聚利搭建培訓、孵化團隊，開展新零售業務。爭取第一年度完成新零售新增銷售2億元人民幣，以後每年不少於50%的增長。
5、得利斯負責提供與新品牌“齊鮮達”相匹配的產品，包括但不限於預製菜系列產品、低温肉製品、發酵肉製品、海鮮產品、生鮮製品等。
6、該協議為各方合作框架協議，開展具體合作業務時，各方應根據具體合作業務的情況另行商洽簽訂合作協議。該協議未盡事宜，可另行協商並簽訂補充協議。
公司表示，該次《合作框架協議》簽署，將進一步拓展公司預製菜產業鏈條，完善產業佈局，提升經營質量。該次合作對象海先友擁有專業的新零售運營團隊、豐富的業務資源以及完善的品牌孵化體系；彥伯食品在禽類、海產品等產品方面構建了完善的供應鏈體系。
各方將充分發揮自身優勢，助力傳統行業擁抱新零售，孵化和助推優秀消費品牌，打造“齊鮮達”品牌；切實發揮公司農業產業化龍頭企業作用，堅守農業產業化的主業經營，利用“產業互聯網+消費互聯網”，聯合各類合作社、貫通產業上下游，形成明星直播電商、品牌營銷服務、供應鏈整合和直播人才培訓四位一體的業務佈局，推動公司及所在區域預製菜產業高質量發展。
