新寶股份(002705.SZ)：擬1.98億美元收購摩飛公司持有的中國商標等資產
格隆匯10月21日丨新寶股份(002705.SZ)公佈，公司擬以自有資金1.61億美元收購MORPHY RICHARDS LIMITED(簡稱“摩飛公司、賣方、轉讓方”)持有的中國商標，同時以自有資金0.37億美元收購摩飛公司境外持有的Morphy Richards Consumer Appliances Limited(簡稱“摩飛消費電器公司、標的公司”)100%股權而間接收購摩飛公司境外(保留地區印度、尼泊爾、不丹、孟加拉國、馬爾代夫、斯里蘭卡和以色列除外)持有的商標和專利(統稱“國際知識產權”)等資產，上述收購事項金額合計1.98億美元。
針對國內市場，公司實施“一個平台，專業產品、專業品牌”策略，通過打造品牌矩陣的方式更好地滿足消費者的個性化需求。公司目前國內運作的品牌主要有Donlim(東菱)、Morphy Richards(摩飛)、GEVILAN(歌嵐)、Barsetto(百勝圖)等，Morphy Richards(摩飛)的定位主要是提供中高端生活電器等產品。公司利用自身長期積累的產品綜合能力，採取“爆款產品+內容營銷”的方法，建立“產品經理+內容經理”雙輪驅動機制，Morphy Richards(摩飛)品牌業務近年來取得積極成效，並逐步把這種方法拓展到公司其他自主品牌業務。如果未來國內市場出現重大變化或國內市場開拓不力，公司經營業績的持續穩定增長將受到不利影響。
摩飛消費電器公司主要為承載摩飛公司轉讓上述國際知識產權目的，於2022年5月23日成立的新公司，自成立以來除與摩飛公司發生的集團內部許可和國際知識產權轉讓交易外，沒有開展任何業務。該次股權收購完成後，標的公司將成為公司的全資子公司。因地域、文化等的差異，公司對標的公司的業務整合效果能否達到預期存在一定的不確定性。公司將加強對標的公司的管理力度、充分發揮公司管理人員的積極性，保障對標的公司實施有效的管控，實現公司現有業務和資源優勢互補和有效協同，以降低整合風險。
