康隆達(603665.SH)擬以2.12億元收購天成鋰業17.67%股權
格隆匯9月6日丨康隆達(603665.SH)公佈，公司於2022年9月6日與天成管理、億源鋰、董愛華及李錦萍簽訂了《股權轉讓協議》，以自有或自籌資金人民幣2.12億元分別向天成管理及億源鋰收購其持有的天成鋰業11.31%、6.36%股權，合計17.67%股權。此次交易完成前，天成鋰業為公司持股33.33%的參股公司；此次交易完成後，公司將持有天成鋰業51.00%股權，天成鋰業將成為公司的控股子公司。
天成鋰業是一家專業從事硫酸鋰溶液提煉的生產企業，公司前期已通過增資及股權轉讓方式收購標的公司33.33%股權，目前系公司參股公司。公司通過再次收購標的公司部分股權，將有助於加速突破公司現有產業瓶頸，進一步拓展現有經營範圍，加快實現轉型升級，增強公司可持續發展能力，符合公司的戰略發展方向和實際經營需要。
公司現主營業務為特種及普通勞動防護手套的研發、生產和銷售。公司2020年、2021年及2022年1-6月主營業務收入分別為9.80億元、10.40億元及5.22億元，目前主營業務收入雖有穩步增長態勢，但增長速度相對緩慢，綜合毛利率主要依靠持續地推動產銷品種結構的不斷改善，要實現大的突破相對困難，正遭遇發展瓶頸。
同時，近年來受新冠疫情影響，全球各國均存在製造業開工不足的情況，防護手套市場需求有下降趨勢。在原有主業發展遭遇發展瓶頸並看好鋰電新材料行業發展前景的前提下，公司通過前期參股天成鋰業，已積累了相關市場行業經驗和一定的人才、技術儲備。其中，天成鋰業將1.5億元增資款中的1億元用於10000噸碳酸鋰當量的硫酸鋰溶液生產線建設，生產線目前已經建成，5月份進入試生產階段，現已達到設計產能。
綜上，在穩健經營現有業務的前提下，公司通過市場調研與實踐，積極拓展新業務，將有利於實現雙輪驅動和產業轉型升級的發展戰略,進一步促進上市公司良性、可持續性地發展。
