和晶科技(300279.SZ)：擬參與湖南爍普新材料重整投資人招募事宜
格隆匯9月4日丨和晶科技(300279.SZ)公佈，公司此次報名參與湖南爍普新材料有限公司(“湖南爍普”)重整投資人招募事宜，能否通過意向投資人的初步篩選以及是否能被確定為最終的重整投資人均存在不確定性。如公司本次能競價中選，屆時公司將根據最終競價結果及具體交易方案，按照有關規定，履行相應的審議程序並及時履行相應的信息披露義務。
公司已按照招募公吿的要求向湖南爍普管理人提交了報名材料。截至目前，公司未收到湖南爍普、湖南爍普管理人任一方出具的任何書面確認文件，公司亦尚未與前述任一方或多方簽訂任何協議。
公吿顯示，湖南爍普目前租用的廠區佔地面積187畝，其當初計劃分兩階段建設，第一階段建設2條濕法隔膜生產線，第二階段建設2條高速濕法隔膜生產線，爭取實現年總產能3億平米，總產值10億元，貢獻利税近億元的目標。目前，第一條濕法隔膜生產線已於2018年5月建成並已全面量產，日產能穩定在20萬平米以上；第二條生產線正在安裝調試，預計今年10月份投產，屆時產能將實現翻番。
湖南爍普研發生產的鋰離子動力電池基膜，採用韓國整線引進的智能化生產設備，在鋰電池隔膜陶瓷塗覆上，湖南爍普產品具有高耐熱、穩定性、高吸液性、高針刺強度等幾大特點。
公司的主要業務為智能硬件、應用軟件等物聯網軟硬件研發、製造、應用及服務，主要產品包括智能控制器、智能信息化解決方案等，其中智能控制器產品主要應用於家電、汽車電子及其他行業(通訊、工業控制、新興消費電子等)。自荊州慧和股權投資合夥企業(有限合夥)成為公司控股股東以來，其在戰略、資本、管理等方面持續為公司提供強有力的支持，進一步明確了公司未來發展的戰略。在內生增長方面，公司將進一步聚焦現有主營業務，積極拓展多產品線和多客户類別，潛心謀劃跨區域、跨國別生產基地佈局；在外延併購方面，堅持併購重組是公司的長期戰略，在“雙循環”、“雙碳”國家戰略背景下，公司將立足現有業務的核心優勢和協同發展目標，積極尋找和篩選符合“雙循環”和“雙碳”戰略的併購標的，不斷豐富公司產品種類、覆蓋更多應用場景、拓展多類型客户，提升公司整體業績，為廣大股東創造價值和回報。
公司此次參與湖南爍普重整投資人招募事宜，主要基於湖南爍普在鋰離子動力電池隔膜方面的業務積累與公司併購重組戰略方向上的契合度，如能完成本次交易，對公司開拓業務覆蓋領域及升級產業佈局有着積極意義，有利於提升公司的持續經營能力，符合公司發展戰略。
