研祥智能(02308.HK)獲深圳市研祥智慧科技溢價約15.13%吸收合併 明日復牌
格隆匯8月8日丨研祥智能(02308.HK)公吿，於2022年8月8日，要約人深圳市研祥智慧科技股份有限公司及公司訂立合併協議，據此，要約人及公司將根據合併協議的條款及條件實施合併。合併完成後，公司將根據中國公司法及其他適用中國法律被要約人吸收合併。
根據合併協議，要約人將向H股股東以現金支付每股H股1.75港元，以註銷H股股東所持有的H股，每股H股註銷價較8月1日收市價每股H股1.52港元溢價約15.13%。
於所有生效條件達成後，公司將根據上市規則第6.15(2)條向聯交所申請自願撤銷H股於聯交所的上市地位。
據悉，要約人為於2021年11月24日在中國註冊成立的有限責任公司。要約人由研祥高科技(其股權由陳先生與陳夫人分別擁有70.5%及29.5%)擁有99%及由陳先生擁有1%。要約人由研祥高科技及陳先生因合併目的而於中國成立。要約人營業登記證所載的業務範圍包括(其中包括)銷售工業控制及計算系統、軟件、計算配件、提供計算系統服務、銷售互聯網設備及電子設備。
合併的理由及裨益包括：(1)就H股股東而言，有機會在具有挑戰性的環境中以具吸引力的溢價將彼等於公司的投資變現；(2)就公司而言：公司已基本失去上市平台股權融資的優勢。
疫情蔓延及國際貿易減弱導致特種計算機產品的內外銷售都受到嚴重影響，公司經營面臨重大挑戰，且未來經營仍存在較大不確定性。為保持核心競爭力，公司需統一梳理戰略和業務方向，探索新的發展機會和長期增長策略。該舉措在短期內可能造成公司財務表現的不確定性，從而給H股股東造成損失。合併完成後，公司可以更加靈活地制定長期戰略，避免因作為上市公司而承受的市場預期壓力及股價波動風險。H股退市及公司取消註冊完成後，預期要約人將無意尋求將其股份或其附屬公司於任何其他證券交易所(包括中國的證券交易所)上市。
此外，公司已向聯交所申請自2022年8月9日上午九時正起恢復H股在聯交所買賣。
