百利科技(603959.SH)：百利鋰電擬收購無錫百擎60%的股權
格隆匯7月25日丨百利科技(603959.SH)公佈，公司全資子公司常州百利鋰電智慧工廠有限公司(“百利鋰電”、“甲方”)於2022年7月25日與無錫百擎智能機器人科技有限公司(“無錫百擎”、“標的公司”或“乙方”)、朱月園(丙方)簽訂了《股權轉讓意向書》。百利鋰電擬以現金方式向丙方收購標的公司60%的股權，具體交易架構將綜合考慮盡職調查結果、資產評估結果、商務談判結果、税收籌劃方式等多個因素及本次股權轉讓項目的具體進展，由各方另行協商確定。此次收購事項不構成重大資產重組。
公司於2022年7月25日召開了第四屆董事會第二十四次會議，會議審議通過了《關於全資子公司與無錫百擎簽訂股權轉讓意向書的議案》。董事會同意百利鋰電與無錫百擎等相關各方簽訂上述《股權轉讓意向書》。
無錫百擎成立於2016年，自成立以來便專注於為客户提供粉體材料燒結工藝智能化解決方案，目前主要應用在鋰電池行業，主要為鋰電池生產企業提供鋰電池正負極材料工業窯爐外循環線的設計與建造，尤其在鋰電池負極材料領域擁有豐富的行業經驗和技術優勢。收購無錫百擎，符合公司新能源產業鏈戰略佈局，通過整合鋰電材料產線中的關鍵設備，將有利於提升公司在鋰電池材料產線設備自制率，與主營鋰電池正極材料工業窯爐外循環線智能化解決方案的常州百韓科智能裝備有限公司進行技術融通，形成業務互補，提高公司鋰電池正、負極材料智能生產線的整體競爭力。
無錫百擎在鋰電池正負極材料工業窯爐外循環線生產領域已有較好的口碑，已經與杉杉股份、璞泰來、凱金能源、蜂巢能源等鋰電產業及精細化工材料生產廠商建立了良好、穩定的合作關係。本次收購完成後，公司與無錫百擎可共享客户資源，一定程度上增強客户粘性，未來亦可通過技術合作、聯合開發等方式共同開拓並承接業務，深入挖掘並整合國內優質新能源產業資源，產生良好的業務協同效應。
無錫百擎擁有經驗豐富的技術團隊，擁有豐富的行業技術經驗和客户信譽度，此次收購將為公司未來發展帶來新的驅動力，提升技術水平，有利於公司的長遠發展。
