榮盛發展(002146.SZ)：與控股股東續簽戰略合作協議
格隆匯7月21日丨榮盛發展(002146.SZ)公佈，根據經營業務需要，2018年7月12日，榮盛房地產發展股份有限公司(“乙方”)與公司控股股東榮盛控股股份有限公司(簡稱“榮盛控股”或“甲方”)本着“互惠、互利、穩定、恆久”的原則，依據有關法律法規的相關規定，經友好協商，簽訂了《戰略合作協議》。
多年以來，榮盛控股為公司的發展在各方面給予了全力支持，包括長期為公司提供資金拆借、為公司(含下屬子公司)向銀行申請授信額度提供擔保、增持公司股票等，為公司的快速健康發展提供了持續的幫助，為了繼續支持上市公司發展，榮盛控股與公司簽訂該戰略合作協議，根據協議，乙方將為甲方向金融機構申請借款提供不超過甲方向乙方提供的借款及擔保的總額額度50%且絕對額不超過25億元人民幣的擔保(甲方向乙方提供的借款及擔保總額額度根據乙方向其提供擔保發生時的實際數確定)。
現因甲方與相關金融機構的融資擬進行展期，前述擔保事項應金融機構要求擬同時展期，榮盛控股長期以來為公司健康發展提供了持續的幫助，為了不因公司向榮盛控股進行資金拆借以及需要榮盛控股對公司進行擔保等，影響榮盛控股的正常發展經營和未來持續支持公司的能力，為了榮盛控股能繼續支持公司的平穩健康發展，經公司與榮盛控股友好協商，於2022年7月21日續簽了《戰略合作協議》，乙方將為甲方向金融機構申請借款繼續提供不超過甲方向乙方提供的借款及擔保的總額額度50%且絕對額不超過25億元人民幣的擔保(甲方向乙方提供的借款及擔保總額額度根據乙方向其提供擔保發生時的實際數確定)，在上述關聯擔保行為實際發生時，甲方承諾甲方或第三方將以資產或以其他有效方式提供充分的反擔保，並將按期還款，保證不會發生損害乙方和其他股東的利益的情形。
截至公吿披露日，榮盛控股持有公司 1,450,840,043股，佔公司總股本的33.37%，為公司控股股東，與公司構成關聯關係，本次交易事項構成了關聯交易。
