中科金財(002657.SZ)擬以9.5億元增資海南蓉祥 其經營範圍涉及免税商店商品銷售等等
格隆匯7月19日丨中科金財(002657.SZ)公佈，公司擬與海南蓉祥投資有限公司(“標的公司”或“海南蓉祥”)、海南科鑫電子商務有限公司(“海南科鑫”)、海南玉鑫商務服務有限公司(“海南玉鑫”)簽署《投資協議》，海南蓉祥擬增資19億元，其中，海南科鑫認繳增資9.5億元，中科金財認繳增資9.5億元，同時，海南科鑫受讓海南玉鑫持有的海南蓉祥的股權，此次投資完成後，海南科鑫持有海南蓉祥50.13%的股權，中科金財持有海南蓉祥49.87%的股權。
值得注意的是，標的公司經營範圍：離岸貿易經營；免税商店商品銷售；保税倉庫經營；貨物進出口；藥品進出口(依法須經批准的項目，經相關部門批准後方可開展經營活動)一般項目：以自有資金從事投資活動；銷售代理；國內貿易代理；貿易經紀；互聯網銷售(除銷售需要許可的商品)；信息諮詢服務(不含許可類信息諮詢服務)；社會經濟諮詢服務；技術服務、技術開發、技術諮詢、技術交流、技術轉讓、技術推廣；航空商務服務；會議及展覽服務；旅客票務代理(除許可業務外，可自主依法經營法律法規非禁止或限制的項目)。
標的公司主要從事商業中心的建設及運營，致力於打造有海外消費替代功能的新消費場景，通過完善供應鏈體系，為旅遊團、具備導向性需求散客以及普通散客等提供國際國內品牌商品，滿足消費者不出國門即買遍全球的即時需求。同時，將完善、迅速的物流配送體系配以線下體驗場景的搭建，進一步提升客户體驗感，滿足消費者一站式輕鬆購買的需求。標的公司主要業務為自營商業中心，通過國內採購一般貿易及一般進口貿易形式，在全球範圍內採購符合自身市場定位和特色的商品，通過商業中心直接面向消費者銷售。
標的公司項目建設期2.5年，將在成都、南京和華中地區各建設並運營1家商業中心，並在成都建倉儲物流中心，可積極承接國家發展戰略，滿足目標羣體需求，並且具備良好的經濟效益及社會效益。
標的公司所處行業具有良好發展前景。中國龐大內需市場潛力的釋放以及居民消費的提檔升級推動着標的公司所在市場的持續擴容以及壯大。同時疊加全球一體化發展及商品貿易的頻繁，越來越多優質海外產品湧入中國市場。進口商品作為國內商品市場的重要補充，能夠較好的滿足消費者多元化需求。另一方面，長期來看，我國旅遊零售市場仍有較大發展動力，中等收入羣體規模的壯大將進一步釋放旅遊消費潛力，同時更加優質、多元的產品服務供給以及政策刺激等手段的出台，將持續刺激市場需求。
