星湖科技(600866.SH)：擬以53.76億元收購伊品生物99.22%的股份
格隆匯6月2日丨星湖科技(600866.SH)公佈，公司擬通過發行股份及支付現金相結合的方式購買伊品生物99.22%的股份，其中公司擬以股份支付的比例約為85.28%，擬以現金支付的比例約為14.72%。此次交易完成後，伊品生物將成為公司控股子公司。
此次發行股份購買資產的定價基準日為星湖科技第十屆董事會第十四次會議決議公吿日，發行價格為4.97元/股，不低於定價基準日前120個交易日上市公司股票交易均價的90%。
根據上市公司與交易對方簽署的《資產購買協議》，此次交易標的資產伊品生物99.22%的股份的最終確定交易作價約為53.76億元，發行股份數量為922,453,450股。此次交易標的資產的具體交易對價以經符合《證券法》規定的資產評估機構出具的評估結果為基礎，並由交易各方協商確定。
此次交易完成後，公司控股股東仍為廣新集團，實際控制人仍為廣東省人民政府，此次交易不會導致公司控股股東和實際控制人發生變更。
另外，公司擬向不超過35名(含35名)符合條件的特定投資者非公開發行股票募集配套資金，募集資金總額不超公司此次交易中以發行股份方式購買資產部分交易對價的100%。此次募集配套資金擬用於支付此次交易中的現金對價、中介機構費用、補充公司流動資金等。其中，用於補充流動資金的比例不會超過交易作價的25%，並且不超過募集配套資金總額的50%。此次募集配套資金髮行的股份數量不超此次募集配套資金前公司總股本的30%，最終發行數量將在中國證監會核准後，根據詢價結果最終確定。
標的公司長期從事生物發酵行業，以玉米作為主要原材料，利用生物發酵工藝生產出包括L-賴氨酸、L-蘇氨酸在內的各類動物營養氨基酸產品、食品添加劑產品，並對廢水、廢氣及廢渣進行回收和綜合利用以生產出有機肥和其他副產品。標的公司積累了豐富的行業管理經驗，擁有良好的人才儲備、營銷網絡和豐富的客户資源，已經逐步成為行業內具有全球影響力的重要企業之一。
此次交易完成後，伊品生物將成為公司控股子公司。公司的主營業務仍為食品添加劑、醫藥中間體、生化原料藥及製劑和飼料添加劑的研發、生產和銷售。公司在主營業務和發展方向不變的基礎上，以氨基酸及其衍生物為核心的食品添加劑、飼料添加劑產品種類將進一步豐富，競爭優勢將較大幅度提升，公司整體在行業內的市場影響力亦將得以加強。公司、標的公司均可延伸其原有的產業鏈，實現橫、縱向一體化，發揮業務之間的協同效應，提高公司業務的核心競爭力和市場地位。
