鷹普精密(01286.HK)擬5927萬元收購佛山市美鍛製造技術全部股權
格隆匯6月1日丨鷹普精密(01286.HK)公吿，於2022年6月1日，公司通過間接全資附屬公司鷹普航空科技有限公司（買方）與目標公司佛山市美鍛製造技術有限公司唯一股東Ameriforge International S.A.R.L.（賣方）訂立股權購買協議，據此，買方有條件地同意購買及賣方有條件地同意出售目標公司的全部股權，擬總代價為現金人民幣5927萬元（可予若干調整）。
目標公司是一家於2004年根據中國法律成立的有限責任公司。於本公吿日期，目標公司為賣方的全資附屬公司，主要從事商用客機、工業燃氣輪機和油氣裝備等終端市場的高精密度、高複雜度的核心零部件加工及組件的生產、測試、裝配和特種工藝，產品可用於：(i)商用客機的發動機、輔助動力單元以及機身結構；(ii)發電設備中的工業燃氣輪機；以及(iii)油田服務的鑽井、測井、完井等油氣裝備。目標公司的重點產品包括(i)航空發動機的燃燒室、壓氣機和渦輪機的薄壁環形件；(ii)工業燃氣輪機燃燒室端蓋、燃油噴嘴零部件和組件；和(iii)油氣裝備長軸類零件等。
公司認為，收購事項將進一步鞏固與發展集團在航空終端市場的全球戰略佈局，深化並加強集團與全球航空終端客户的合作，拓寬集團在特種焊接、組件生產的核心工藝能力。同時，收購事項也將拓展集團在工業燃氣輪機以及油氣裝備等高附加值終端市場的佈局，補強集團在特種焊接組件和長軸類零件上的技術能力。同時，集團將攜手目標公司實施一站式解決方案和全球佈局的區域化製造發展戰略，結合集團在海外地區如墨西哥和土耳其的前瞻佈局，有效釋放集團與目標公司間的各項協同價值。
航空終端市場為集團長期戰略發展方向之一。為了更專注和更快捷地服務航空和醫療等高附加值終端市場客户，集團於2021年7月成立了航空科技事業部。雖然新冠肺炎疫情持續反覆，但是隨着多國陸續宣佈解除對外邊境封鎖和入境限制，航空終端業務有望在未來重新成為集團的增長引擎。本次收購事項是公司提前佈局後疫情時代經濟復甦的發展機遇，在本次收購之後，隨着航空科技事業部的業務組合多元化，公司對於該事業部的發展將持續夯實並充滿信心。
