英威騰(002334.SZ)：驅動公司擬增資擴股引進嘉興鵬穎一期等
格隆匯5月24日丨英威騰(002334.SZ)公佈，公司控股子公司驅動公司為了抓住行業機遇、持續穩健運轉，努力與外部投資機構進行接洽，鑑於新能源汽車行業發展前景向好，整體對驅動公司未來看好，外部投資者嘉興鵬穎一期股權投資合夥企業(有限合夥)、劉向陽、葉雪良擬以現金方式投資人民幣6600萬元，認購新增註冊資本3000萬元。
為支持驅動公司發展，英威騰擬以現金方式向驅動公司投資6600萬元，認購新增註冊資本3000萬元。
基於驅動公司員工與驅動公司利益結合，驅動公司員工看好新能源汽車行業發展，對驅動公司未來抱有信心，願意與驅動公司共謀發展，驅動公司核心員工擬通過持有員工持股平台深圳市英威騰德投資企業(有限合夥)(簡稱“英威騰德”)和深圳市英威騰厚投資企業(有限合夥)(簡稱“英威騰厚”)份額間接持有驅動公司股權的方式參與本次現金方式增資，投資總金額不超過人民幣3750萬元，認購新增註冊資本2500萬元。本次員工持股平台擬對驅動公司增資事項具體分配方案由驅動公司董事會審議決定，不適用英威騰《子公司管理層持股計劃(2018修訂稿)》。
驅動公司現有股東黃申力、深圳市英威騰興投資發展企業(有限合夥)(簡稱“英威騰興”)、深圳市英威騰達投資發展企業(有限合夥)(簡稱“英威騰達”)、深圳市英盛投資發展企業(有限合夥)(簡稱“英盛投資”)、深圳市英威騰盈投資合夥企業(有限合夥)(簡稱“英威騰盈”)同意上述三項增資並放棄優先認購權。
經交易雙方協商一致，驅動公司股東黃申力擬以每元註冊資本2.2元的價格將所持驅動公司1200萬元註冊資本轉讓給葉雪良，驅動公司其他股東英威騰、英威騰興、英威騰達、英盛投資、英威騰盈同意本次股權轉讓並放棄本次優先購買權。
以上交易全部完成後，驅動公司註冊資本由人民幣1.8億元增加至2.65億元，英威騰持股比例變更為49.36%。
