物產中大(600704.SH)：收購金輪股份控股權事項獲浙江省國資委同意批覆
格隆匯5月20日丨物產中大(600704.SH)公佈，2022年5月20日，物產中大集團股份有限公司收到《浙江省國資委關於同意收購金輪藍海股份有限公司控股權的批覆》(浙國資產權〔2022〕18號)，浙江省人民政府國有資產監督管理委員會原則同意公司上報的收購金輪藍海股份有限公司(證券代碼：002722，簡稱“金輪股份”)控股權方案以及認購金輪股份定向增發股票方案。批覆主要內容如下：
一、原則同意公司上報的收購金輪藍海股份有限公司控股權方案。同意物產中大元通實業集團有限公司(為國有股東，標註“CS”)協議受讓南通金輪控股有限公司所持金輪藍海股份有限公司股份981.8655萬股，協議受讓安富國際(香港)投資有限公司所持金輪藍海股份有限公司股份1720.5904萬股；同意物產中大(浙江)產業投資有限公司(為國有股東，標註“CS”)協議受讓南通金輪控股有限公司所持金輪藍海股份有限公司股份1158.1954萬股。
二、原則同意公司上報的認購金輪藍海股份有限公司定向增發股票方案。其中：物產中大元通實業集團有限公司認購金輪藍海股份有限公司定向增發股份2211.1003萬股，物產中大(浙江)產業投資有限公司認購金輪藍海股份有限公司定向增發股份947.6144萬股。
三、上述行為完成後，物產中大元通實業集團有限公司累計持股4913.5562萬股，持股比例為23.73%；物產中大(浙江)產業投資有限公司累計持股2105.8098萬股，持股比例為10.17%。
四、公司要嚴格控制併購風險，按照國家有關政策規定規範推進本次協議受讓、認購股份工作，落實風險防控措施，切實維護國有股東權益，並及時登錄“上市公司國有股權管理信息系統”填報相關信息。
五、公司要加強對收購後企業的管理，優化企業治理管控，實現公司高質量發展。
