新創建集團(00659.HK)：Goshawk Aviation擬15.75億美元將商業飛機租賃平台的權益出售予SMBC AC
格隆匯5月16日丨新創建集團(00659.HK)公吿，於2022年5月16日，Goshawk Aviation（作為賣方）、SMBC AC（作為買方）、公司（作為賣方擔保人）及周大福企業（作為賣方擔保人）訂立交易協議。根據交易協議，公司及周大福企業各自已同意作為Goshawk Aviation（公司間接持有其50%股權的合營企業）的賣方擔保人向SMBC AC提供財務擔保，以支持Goshawk Aviation履行其於交易協議及其他相關交易文件下的付款責任。財務擔保是由各賣方擔保人根據其於Goshawk Aviation的間接股權，按50%的比例各別提供。
根據交易協議項下擬進行的交易，Goshawk Aviation已同意於完成時將其在商業飛機租賃平台的權益出售予SMBC AC，該平台包括Goshawk Aviation（透過GML集團）經營的商業飛機租賃業務的幾乎所有資產、負債及合約。基本代價14.56億美元，並按照此類性質交易的慣例於基本代價加上由經濟截止日期（為2021年6月30日）至完成日期期間的承諾費。按此計算，估計總代價15.75億美元將由SMBC AC於完成時以現金全數支付。
交易涵蓋Goshawk Aviation除餘下實體及若干GML集團的非經營性實體（將於適當的時候被清算）外的近乎整個飛機租賃平台。完成後，Goshawk Aviation將繼續透過餘下實體持有若干飛機，並由第三方服務機構提供服務。Goshawk Aviation將持續檢視其對這些飛機的投資政策。
新型冠狀病毒疫情對航空業及商業飛機租賃公司的業務產生長期影響，加上利率趨升，對商業飛機租賃公司的前景更趨不明朗及波動。Goshawk Aviation自獲集團投資以來都產生合理回報。考慮到目前的市場及行業狀況，集團認為此交易作價吸引並可解除風險，讓GoshawkAviation商業飛機租賃平台釋放潛在價值，並藉此為公司及其股東創造價值的機會。其亦為公司提供機會，可以將其資本重新部署到其他風險調整後回報更高的投資機會上。
