浙能電力(600023.SH)：擬與綠能電力按股權比例共同向新華龍增資
格隆匯5月11日丨浙能電力(600023.SH)公佈，公司與浙江浙能綠能電力發展有限公司(“綠能電力”)按股權比例共同以現金方式向河北新華龍科技有限公司(“新華龍”)增資。
新華龍是投資張北巨人40%股權的出資主體，註冊及實收資本2億元，浙能電力和綠能電力分別持有新華龍75%和25%股權。
張北巨人成立於2018年，是投資建設並運營河北張家口市張北縣“基於百兆瓦壓縮空氣儲能系統綜合能源應用示範項目”的項目公司。該示範項目包括光伏發電500MW、風力發電300MW和壓縮空氣儲能100MW等子項，總投資約47億元。
張北巨人股東方分別為綠巨人新能源有限公司(“綠巨人”)和新華龍，其中綠巨人持有60%股權、新華龍持有40%股權。目前示範項目正在建設過程中，計劃於2022年底全部建成投產，目前部分已陸續併網發電。2021年張北巨人實現營業收入11249.84萬元、淨利潤5223.61萬元。
張北巨人目前註冊資本金11.7億元，截至2021年末，實繳到位5億元。2022年，張北巨人計劃分期增資6.2億元。資本金到位後，張北巨人實繳資本金將從5億元增加至11.2億元。後續根據張北巨人與銀行簽訂的有關貸款協議對資本金的要求，張北巨人在足額貸款及考慮土地等費用的情況下，註冊資本金可能調增至12.7億元(根據項目工程建設的實際需要再行確定)。
新華龍作為張北巨人的股東方，根據張北巨人增資需要，擬由公司和綠能電力按股權比例共同以現金方式向其進一步增資。
假設按照張北巨人調增後註冊資本金12.7億元，並扣除已實繳到位的5億元資本金計算，張北巨人後續擬增資7.7億元。
按照新華龍持有張北巨人40%股權計算，新華龍應向張北巨人進一步增資3.08億元，該等增資款擬由公司和綠能電力向其增資解決。按照公司持有新華龍75%股權計算，公司應向新華龍進一步增資2.31億元。
