易還財務投資(08079.HK)獲陳恩德折讓約20%提收購要約 明日復牌
格隆匯5月10日丨易還財務投資(08079.HK)公吿，於2022年4月29日，要約人、立富、陳恩德先生（作為買方擔保人）與蕭若元先生（作為賣方擔保人）訂立股份買賣協議，據此，要約人有條件同意收購，而立富有條件同意出售合共8229萬股股份，相當於已發行股本總數約34.24%。出售股份的代價為658萬港元，相當於每股待售股份0.08港元。股份買賣協議於2022年5月4日落實完成。
緊隨股份買賣協議完成後，要約人及其一致行動人士於8229萬股股份中擁有權益，相當於公司已發行股本總數約34.24%。根據收購守則規則26.1，於股份買賣協議完成後，要約人須就全部已發行股份作出強制性有條件現金要約。每股要約股份現金0.08港元，較股份於最後交易日收市價每股0.100港元折讓約20.00%。
要約人為於香港註冊成立的有限公司，為由陳先生全資實益擁有的投資控股公司，陳先生亦為要約人的唯一董事。於本聯合公吿日期，除訂立股份買賣協議外，要約人並無從事任何其他業務活動。
陳先生主要在經營健康食品、藥品以及寵物食品及用品的零售業務方面擁有豐富經驗。陳先生目前為仍志集團的主席，仍志集團主要從事寵物食品及用品的電子商務業務。彼於2011年12月5日至2019年3月31日擔任順騰國際（控股）有限公司（股份代號：0932）的主席、執行董事兼行政總裁。彼曾負責順騰的健康及美容保健品及產品分部的整體管理及策略發展。於本聯合公吿日期，彼為順騰的主要股東。
股份買賣協議完成後，要約人成為控股股東。要約人無意終止僱用僱員或出售或重新部署集團於其日常業務過程中的資產以外的資產。要約人亦有意於緊隨股份買賣協議完成後繼續集團現有的主要業務。視對集團現有主營業務及財務狀況的檢討結果而定，為制定集團未來業務發展的業務計劃及策略，要約人可能會探索其他商機並考慮是否將進行任何適當的資產出售、資產收購、業務理順、業務撤資、集資、業務重組及╱或業務多元化，以提升集團的長期增長潛力。
此外，公司已向聯交所申請股份自2022年5月11日上午九時正起於聯交所恢復買賣。
