韶鋼松山(000717.SZ)：未及時披露關聯交易相關情況 收到警示函
格隆匯5月8日丨韶鋼松山(000717.SZ)公佈，公司於近日收到中國證券監督管理委員會廣東監管局(“廣東證監局”)下發的《關於對廣東韶鋼松山股份有限公司、解旗、李國權、皮麗珍、郭利榮採取出具警示函措施的決定》(【2022】50號)，警示函主要內容如下：
經查，2022年1月至2月期間，公司與關聯方發生日常關聯交易金額合計約32.1億元，佔公司2020年經審計淨資產的33.76%。直至2022年3月7日、3月23日，公司才對上述日常關聯交易分別履行董事會和股東大會審議程序，以及相關信息披露義務。
公司的上述行為違反了《上市公司信息披露管理辦法》（證監會令第182號）第三條、第四十一條的規定。
因公司未及時披露關聯交易相關情況，根據《上市公司信息披露管理辦法》第五十二條的規定，廣東證監局決定出具警示函，要求公司認真吸取教訓，及時履行信息披露義務，對相關責任人員進行內部問責，並在收到警示函30日內向廣東證監局、深圳證券交易所報送整改報吿和內部問責情況報吿。
此次監管措施不會影響公司正常的生產經營管理活動，公司後續將嚴格按照法律法規相關規定，認真履行信息披露義務。敬請廣大投資者注意投資風險。
公司收到警示函後，高度重視警示函提出的問題，將按照警示函要求採取有效措施對相關事項進行整改。目前，公司《2022年度日常關聯交易計劃議案》已經2022年3月23日召開的公司2022年第一次臨時股東大會審議通過。公司將在規定時間內向廣東證監局報送整改報吿、內部問責情況報吿。公司將通過信息化手段，建立日常關聯交易跟蹤機制，實時跟蹤日常關聯交易情況，提高日常關聯交易計劃執行的準確率和管控能力，嚴格按照相關規定履行程序及信息披露義務，不斷提升公司日常關聯交易的規範運作水平及信息披露質量，確保公司日常交聯交易規範運作。
