紫晶存儲(688086.SH)2021年度淨虧損2.29億元 中喜出具了無法表示意見的審計報吿
格隆匯5月1日丨紫晶存儲(688086.SH)發佈2021年年度報吿，實現營業收入4.58億元，同比下降6.69%；歸屬於上市公司股東的淨利潤-2.29億元，上年同期為盈利8182.60萬元(調整後)；歸屬於上市公司股東的扣除非經常性損益的淨利潤-1.16億元，上年同期為盈利7640.39萬元(調整後)；基本每股虧損1.20元。
除温華生、王鐵林、王煌外的其他董事、監事、高級管理人員保證該公吿內容不存在任何虛假記載、誤導性陳述或者重大遺漏，並對其內容的真實性、準確性和完整性承擔個別及連帶責任。
董事温華生、獨立董事王鐵林、獨立董事王煌無法保證本報吿內容的真實性、準確性和完整性，董事温華生的理由是：基於會計師意見，難以對調整的準確性與完整性作出同意判斷，但也認可公司管理層基於自查而作的更正舉措、對此不予反對，因此作出中立意見的表決。獨立董事王煌的理由是：基於中喜會計師事務所出具的無法表示意見的財務報表審計報吿，及否定意見的內部控制審計報吿，本人對於2021年度財務報表所涉及的主要議案無法確認內容之完整和真實。在與會計師事務所和財務人員充分溝通後，仍然無法有效排除疑惑並得到可確認的結果，故投票反對。獨立董事王鐵林的理由是：(1)管理層關於前期會計差錯產生的原因、背景的解釋，難以令人信服；(2)年度審計機構關於上述議案對應事項的審計意見為：無法表示意見。本人認可年度審計機構的專業判斷；(3)管理層對於違規擔保事項的原因、背景的解釋説明説服力不夠；(4)年度審計機構表示，一些審計程序(如對銀行的函證、對客户的訪談等)沒有達到滿意的效果；(5)監管部門對公司立案調查，尚無結論，無法確定該案件對公司財務信息的影響；(6)公司財務會計基礎工作薄弱，會計信息及時性不夠。請投資者特別關注。
中喜會計師事務所(特殊普通合夥)為公司出具了無法表示意見的審計報吿，公司董事會、監事會對相關事項已有詳細説明，請投資者注意閲讀。
經2022年4月29日第三屆董事會第五次審議通過，報吿期擬不進行現金分紅、不送紅股也不進行資本公積轉增股本。
