先鋒新材(300163.SZ)：實控人盧先鋒所持部分已質押股份存在被動減持風險
格隆匯4月17日丨先鋒新材(300163.SZ)公佈，公司於近日在中國證券登記結算有限責任公司深圳分公司(“中證登深圳公司”)查詢獲悉公司控股股東、實際控制人盧先鋒所持部分已質押股份存在被動減持風險。
2016年12月7日，九州證券作為資管計劃管理人與盧先鋒簽署了《股票質押式回購交易業務協議》，後續陸續簽署了補質押協議、延期購回協議及進行了部分解質押，雙方最近一次簽署的《延期購回協議》約定購回期限至2020年9月30日，股票質押數量共計3738萬股。截至目前，該筆質押已經到期，盧先鋒未能按約到期回購。
公司經查閲中證登深圳公司出具的大股東持股變動信息，該筆質押股票現已轉入質押特別交易單元，質權方有權隨時對其進行違約處置，處置方式包括集中競價和大宗交易。上述違約處置可能導致盧先鋒該筆3738萬股質押股份的被動減持。
在獲悉上述情況後，盧先鋒已與九州證券積極溝通聯繫，獲悉九州證券作為資管計劃管理人，已將該筆質押下對應的全部債權及其他相關權益、資產，以及尚未履行完畢的權利義務現狀返還至華安泰潤信息技術(北京)有限公司(“華安泰潤”)，此次違約處置事項，九州證券不再具有任何權利義務及相關責任，相關處置平倉信息(包括但不限於處置股數、處置金額、處置時間等)以華安泰潤髮出信息為準；盧先鋒與華安泰潤積極聯繫，獲悉因質押期限屆滿，盧先鋒未履行還款義務，因此華安泰潤啟動了違約處置程序，處置過程中其將自主選擇賣出該筆質押股票的方式(如二級市場、大宗交易等)、價格、數量、時機、順序，擬處置股票數量不超過3738萬股，直至清償盧先鋒所欠全部債務，具體處置情況華安泰潤會按照法律法規要求通知盧先鋒。公司將與盧先鋒保持密切溝通，如有進展，公司將及時嚴格按照有關法律法規及規範性文件的要求及時披露。
公司控股股東、實際控制人盧先鋒及其一致行動人共計持有公司股份115,213,503股，佔公司總股本的24.31%，其中盧先鋒個人持有104,924,203股，佔公司總股本的22.14%。
截至目前，盧先鋒所持股份已質押8758.238萬股，佔其持有公司股份總數的83.47%，佔公司總股本的18.48%，其中質押給九州證券3738萬股，佔公司總股本的7.89%。盧先鋒的一致行動人所持股份不存在質押狀況。
