牧原股份(002714.SZ)：董事長秦英林及高管徐紹濤買賣公司可轉債構成短線交易
格隆匯4月7日丨牧原股份(002714.SZ)公佈，公司董事長秦英林於2022年2月17日、高級管理人員徐紹濤於2022年2月15日分別賣出其所持有的部分或全部公司可轉換公司債券(債券簡稱：牧原轉債，“可轉債”)，上述交易行為構成短線交易，如下：
經核查，公司董事長秦英林買賣公司可轉債構成短線交易的具體情況如下：

②牧原轉債於2021年8月25日在中國證券登記結算有限責任公司完成初始登記。
深圳證券交易所(“深交所”)於2021年2月25日發佈的《關於可轉換公司債券適用短線交易相關規定的通知》中規定“二、可轉換公司債券買入(含申購)、賣出行為均發生在《可轉換公司債券管理辦法》施行以後的情形，納入短線交易規制範圍。”
公司及相關債券持有人在實施可轉債減持交易前對《通知》及其他相關法律法規、規範性文件進行了認真解讀，理解為：牧原轉債發行首日、申購日、原股東優先配售繳款日、存續期起始日、計息起始日均為2021年8月16日，債券持有人自2021年8月16日已經取得可轉債相關權利。自2021年8月16日起推算6個月，即2021年8月16日至2022年2月15日為短線交易禁止期間，因此2022年2月16日(含當日)後賣出可轉債不構成前述法規中所稱短線交易。
基於上述判斷，秦英林先生於2022年2月17日通過大宗交易賣出牧原轉債。秦英林先生不具有短線交易的主觀故意，不存在利用短線交易謀求利益的目的。
經核查，公司高級管理人員徐紹濤買賣公司可轉債構成短線交易的具體情況如下：

②牧原轉債於2021年8月25日在中國證券登記結算有限責任公司完成初始登記。
徐紹濤將短線交易禁止交易的時間範圍記錯，於2022年2月15日賣出了公司可轉債。徐紹濤不具有短線交易的主觀故意，不存在利用短線交易謀求利益的目的。
秦英林本次短線交易產生的收益金額為86,888,084.29元，收益金額的計算方法為：賣出成交金額-買入成交金額-手續費=666,358,760.00-579,442,400.00-28,275.71=86,888,084.29元。秦英林已將收益金額全數上繳公司。
徐紹濤本次短線交易產生的收益金額為69,153.78元，收益金額的計算方法為：賣出成交金額-買入成交金額-手續費=249,202.98-179,800.00-249.20=69,153.78元。徐紹濤已將收益金額全數上繳公司。
公司知悉此事後高度重視，經核實、瞭解相關情況，調閲相關交易記錄後認為：秦英林和徐紹濤的上述交易行為不具有短線交易的主觀故意，不存在利用短線交易謀求利益的目的。
上述行為發生後，秦英林和徐紹濤主動向公司説明相關情況並向公司上繳本次交易的收益，同時認真學習了相關法律、法規、部門規章、規範性文件等規則。秦英林和徐紹濤對本次行為導致的不良影響深表歉意，對廣大投資者致以誠懇的道歉，後續將嚴格遵守相關規定，防止此類事件再次發生。
