山西證券(002500.SZ)：控股子公司中德證券因樂視網保薦業務涉嫌違法被罰沒1698萬元
格隆匯3月20日丨山西證券(002500.SZ)公佈，2022年3月18日，控股子公司中德證券及樂視網2016年非公開發行項目簽字保薦代表人楊麗君、王鑫收到中國證監會《行政處罰事先吿知書》(處罰字[2022]11號)，現將主要內容公吿如下：
一、《行政處罰事先吿知書》相關內容
經查明，中德證券涉嫌違法的事實如下：
(一)樂視網2016年非公開發行及違法
情況2015年5月26日，樂視網公吿申請非公開發行，2016年6月2日，樂視網收到中國證監會批覆文件。8月8日，非公開發行股票在深交所上市，樂視網向四名合格投資者非公開發行新股10,664.30萬股，募集資金47.99億元。
經中國證監會另案查明，樂視網2007年至2016年連續十年虛增業績，其中涉及非公開發行申報文件財務數據期間為2012年至2014年及2015年1至6月。2012年至2014年樂視網分別虛增收入8,965．33萬元、19,998.17萬元和35,194.19萬元，虛增利潤8,445.10萬元、19,339.69萬元和34,270.38萬元，佔當期披露利潤總額的37.04%、78.49%和470.11%。
(二)中德證券非公開發行保薦業務情況
中德證券分別於2015年6月12日和9月1日出具《發行保薦書》申報稿和最終稿，簽字保薦代表人為楊麗君和王鑫，保薦業務收入5,660,377元。
(三)中德證券涉嫌未勤勉盡責
中德證券在樂視網2016年非公開發行保薦業務中存在：(1)未完整獲取和編制前十大客户銷售情況；(2)未對業務發生的真實性進行有效核查。
中德證券的上述行為涉嫌違反《保薦人盡職調查工作準則》第二十二條第七款、第八款及第九款的規定；涉嫌違反《證券發行上市保薦業務管理辦法》第三十條的規定；涉嫌違反2005年修訂的《中華人民共和國證券法》(以下簡稱2005年《證券法》)第十一條第二款的規定，涉嫌構成2005年《證券法》第一百九十二條所述情形。樂視網非公開發行簽字保薦代表人楊麗君、王鑫是直接負責的主管人員。
以上事實，有相關發行申請文件、中德證券盡職調查工作底稿、當事人詢問筆錄、當事人提供情況説明、樂視網虛構業務的相關證據等證據證明。
根據當事人違法行為的事實、性質、情節與社會危害程度，根據2005年《證券法》第一百九十二條規定，中國證監會擬決定：
1.對中德證券責令改正，給予警吿，沒收業務收入5,660,377元，並處以11,320,754元罰款；
2.對楊麗君、王鑫給予警吿，並分別處以15萬元罰款。
根據《中華人民共和國行政處罰法》第四十五條、第六十三條、第六十四條及《中國證券監督管理委員會行政處罰聽證規則》相關規定，就中國證監會擬實施的行政處罰，中德證券及楊麗君、王鑫享有陳述、申辯和要求聽證的權利。
