*ST華英(002321.SZ)：公司實控人變更為許水均
格隆匯3月3日丨*ST華英(002321.SZ)公佈，華英農業實施資本公積轉增的股票已於2021年12月31日登記在河南華英農業發展股份有限公司破產企業財產處置專用賬户。
截至公吿披露日，根據《重整計劃》、《重整投資協議》及其補充協議，重整投資人相應的轉增股票已於2022年2月28日完成過户，具體情況如下表：
2022年2月28日，為滿足上市公司治理和未來發展之需要，進一步穩定上市公司的控制權，提高經營決策的效率，鼎新興華與廣興股權簽署《一致行動協議》，約定各方擬在公司的股東大會和董事會中採取“一致行動”，因此鼎新興華與廣興股權構成一致行動關係。
鼎新興華、光州辰悦、信陽華信、農投新動能、廣興股權、四川興華鼎承諾本次受讓的轉增股票登記至其指定證券賬户之日起三十六個月內不通過任何形式減持(包括集合競價、大宗交易以及協議轉讓等各種方式)。
此次權益變動後，鼎新興華持有公司51189.36萬股股票，其一致行動人廣興股權持有公司4265.78萬股股票，二者合計持有公司55455.14萬股股票，持股比例26%。鼎新興華為公司第一大股東，且其與一致行動人廣興股權實際可支配的上市公司表決權足以對公司股東大會的決議產生重大影響，鼎新興華成為公司控股股東。
杭州興增企業管理有限公司(“杭州興增”)持有鼎新興華1.40845%財產份額，為鼎新興華的普通合夥人；廣漢東興羽絨製品有限公司(“廣漢東興”)持有鼎新興華28.16902%財產份額，為鼎新興華的有限合夥人；信陽市產業投資集團有限公司持有鼎新興華70.42254%財產份額，為鼎新興華的有限合夥人；杭州興增為信息披露義務人的普通合夥人和執行事務合夥人，根據鼎新興華合夥協議，執行事務合夥人對外代表合夥企業，其他合夥人不再執行合夥企業事務。許水均持有杭州興增67%股權，並且持有廣漢東興67%股權，因此許水均為鼎新興華的實際控制人。
此次權益變更後，作為控股股東鼎新興華的實際控制人許水均變更為公司實際控制人。
