*ST銀億(000981.SZ)：擬以不超4億元參與知豆汽車重整及重整計劃變更程序
格隆匯3月2日丨*ST銀億(000981.SZ)公佈，為加快推進公司在新能源整車製造領域的戰略部署，增強公司核心競爭力和可持續發展能力，公司擬出資不超過人民幣4億元參與知豆電動汽車有限公司(“知豆汽車”)重整及重整計劃變更程序。知豆汽車是全國僅有的8家通過國家發改委和工信部雙部委審核的擁有獨立完整的新能源汽車生產資質的企業。2022年3月2日，公司與知豆汽車管理人簽訂《備忘錄》，即公司有意作為知豆汽車新重整投資人，取得知豆汽車的實際控制權及自主經營權，使得知豆汽車實現再生；同時，公司將在該備忘錄簽署後3個工作日內支付意向金人民幣4000萬元整。
公吿顯示，知豆汽車是由新大洋機電集團、吉利控股集團、寧海銀石投資基金、金沙江創投基金等共同合資成立，涵蓋電動汽車研發、生產、銷售、運營等業務，致力於成為新能源汽車的倡導者與推廣者。目前，知豆汽車擁有國內外各種專利100多項，獲得了歐盟E-MARK、CE認證，已順利進入意大利、法國、西班牙等歐美國家，得到了國際市場的廣泛認可。
知豆汽車總部位於浙江寧波寧海縣，核心資產為其全資子公司蘭州知豆電動汽車有限公司(“蘭州知豆”)，蘭州知豆擁有獨立新能源乘用車生產資質，於2017年2月28日獲得《國家發展改革委關於蘭州知豆電動汽車有限公司年產 4萬輛純電動乘用車建設項目核准的批覆》 (發改產 業[2017]377 號)，蘭州基地佔地超過800畝，擁有完整落成的新能源整車生產線和專業設備，具備正常的整車生產運營條件。寧海基地佔地563畝，具有非獨立新能源整車生產資質，目前該基地建設的新能源整車總裝車間已完工。
公司目前主營業務為汽車零部件的研發、生產和銷售，致力於混合動力和純電動動力總成系統的研發與生產，公司旗下比利時邦奇公司在相關領域的研發和技術水平位居全球前列，邦奇公司與全球前四大車企之一的斯特蘭蒂斯集團分別於2019年和2020年先後成立兩家合資公司，定向為其研發和生產新能源車型的混合動力總成系統。而知豆汽車作為中國新能源汽車的先行者與推廣者，擁有獨立完整的新能源汽車生產資質。此次公司擬參與知豆汽車重整事項，是公司基於自身在新能源汽車領域的優勢而作出的重要戰略部署，與公司現有汽車零部件製造業務形成明顯的協同效應，是公司長期戰略佈局的重要舉措；公司一直致力於向高科技型公司轉型，堅定不移地踐行和發展新能源戰略。此次投資事項有助於增強公司的核心競爭力和可持續發展能力，符合上市公司和全體股東的長遠發展利益。
