絲路物流控股(00988.HK)：上市委員會決定維持暫停公司股份買賣的上市科決定
格隆匯2月27日丨絲路物流控股(00988.HK)公佈，聯交所上市委員會已於2022年2月16日舉行覆核聆訊。於2022年2月25日，公司接獲聯交所通知公司函件，內容有關委員會經考慮公司及上市科所提交的全部資料(包括書面及口頭資料)後，委員會認為公司未能維持上市規則第13.24條規定的充足營運及資產水平，以保證其股份繼續上市，並決定根據上市規則第6.01(3)條維持暫停公司股份買賣的上市科決定。委員會所於達致決定時已考慮以下因素：
1.公司主要從事(a)商品貿易業務；(b)物流業務；及(c)石油業務。
2.公司自2016年起一直以營運商品貿易業務為其主要業務營運。其營運水平於2020年6月管理協議到期後已降至最低。誠如下文所解釋，委員會亦對商品貿易業務並非實質業務及/或並非可行及可持續存有顧慮。公司其他業務(即物流業務及石油業務)已長期處於最低營運水平。公司自2016財政年度起一直錄得虧損，有關情況似乎並非短暫下調或衰退。公司有意拓展其商品貿易業務及物流業務以符合上市規則第13.24條。然而，此等業務計劃為初步計劃且屬一般性及欠缺具體細節。總體而言，委員會仍對集團業務並非可行及可持續存有顧慮。
根據上市規則第2B.06(2)及2B.08(1)條，公司有權於上市委員會決定發出日期後七個營業日內(即2022年3月8日或之前)，要求將上市委員會決定提交上市覆核委員會(定義見上市規則)進行覆核。公司股份將會於2022年3月9日(即上市委員會決定發出日期後七個營業日屆滿後)暫停買賣，除非公司根據其於上市規則第2B章項下的權利申請對上市委員會決定進行覆核，則作別論。在此之前，股份將繼續進行買賣。公司現正審核上市委員會決定，並正就此進行內部討論，以及與專業顧問進行商討，並將考慮是否提出將上市委員會決定轉交上市覆核委員會進行覆核的要求。董事謹此提醒股東及公司潛在投資者：(i)公司可能會或可能不會要求上市覆核委員會進行覆核；及(ii)如進行覆核，覆核結果屬未知之數。公司將適時根據上市規則之規定另行刊發公佈。
