金橋信息(603918.SH)：擬推2022年股票期權與限制性股票激勵計劃
格隆匯2月21日丨金橋信息(603918.SH)公佈2022年股票期權與限制性股票激勵計劃(草案)，該激勵計劃擬授予激勵對象權益總計386.70萬份，涉及的標的股票種類為人民幣A股普通股，約佔該激勵計劃草案公佈日公司股本總額36,674.6078萬股的1.05%。
其中，首次授予權益總數為326.70萬份，佔該激勵計劃擬授出權益總數的84.48%，約佔該激勵計劃草案公佈日公司股本總額的0.89%；預留60.00萬份，佔該激勵計劃擬授出權益總數的15.52%，約佔該激勵計劃草案公佈日公司股本總額的0.16%。
公司2020年第二次臨時股東大會審議通過的《公司2020年股票期權與限制性股票激勵計劃(草案)》尚在實施中。截至該激勵計劃草案公佈日，公司全部有效期內股權激勵計劃所涉及的標的股票總數累計未超過公司股本總額的10.00%。該激勵計劃中任何一名激勵對象通過全部有效期內的股權激勵計劃獲授的公司股票數量未超過公司股本總額的1.00%，具體如下：
(一)股票期權激勵計劃：該激勵計劃擬授予激勵對象股票期權237.80萬份，涉及的標的股票種類為人民幣A股普通股，約佔該激勵計劃草案公佈日公司股本總額的0.65%。其中首次授予217.80萬份，預留20.00萬份。該計劃下授予的每份股票期權擁有在滿足生效條件和生效安排的情況下，在可行權期內以行權價格購買1股公司人民幣A股普通股股票的權利。
(二)限制性股票激勵計劃：該激勵計劃擬授予激勵對象限制性股票148.90萬股，涉及的標的股票種類為人民幣A股普通股，約佔該激勵計劃草案公佈日公司股本總額的0.41%。其中首次授予108.90萬股，預留40.00萬股。
該激勵計劃首次授予的股票期權的行權價格為9.82元/股，首次授予的限制性股票的授予價格為4.91元/股。
該激勵計劃有效期為自股票期權授權之日和限制性股票授予之日起至激勵對象獲授的所有股票期權行權或註銷和限制性股票解除限售或回購註銷完畢之日止，最長不超過48個月。
該激勵計劃首次授予的激勵對象共計133人，包括公司公吿該激勵計劃時在公司(含子公司，下同)任職的中層及管理骨幹、核心技術/核心業務人員。不含獨立董事、監事、單獨或合計持股5%以上股份的股東或實際控制人及其配偶、父母、子女。
