金桥信息(603918.SH)：拟推2022年股票期权与限制性股票激励计划
格隆汇2月21日丨金桥信息(603918.SH)公布2022年股票期权与限制性股票激励计划(草案)，该激励计划拟授予激励对象权益总计386.70万份，涉及的标的股票种类为人民币A股普通股，约占该激励计划草案公布日公司股本总额36,674.6078万股的1.05%。
其中，首次授予权益总数为326.70万份，占该激励计划拟授出权益总数的84.48%，约占该激励计划草案公布日公司股本总额的0.89%；预留60.00万份，占该激励计划拟授出权益总数的15.52%，约占该激励计划草案公布日公司股本总额的0.16%。
公司2020年第二次临时股东大会审议通过的《公司2020年股票期权与限制性股票激励计划(草案)》尚在实施中。截至该激励计划草案公布日，公司全部有效期内股权激励计划所涉及的标的股票总数累计未超过公司股本总额的10.00%。该激励计划中任何一名激励对象通过全部有效期内的股权激励计划获授的公司股票数量未超过公司股本总额的1.00%，具体如下：
(一)股票期权激励计划：该激励计划拟授予激励对象股票期权237.80万份，涉及的标的股票种类为人民币A股普通股，约占该激励计划草案公布日公司股本总额的0.65%。其中首次授予217.80万份，预留20.00万份。该计划下授予的每份股票期权拥有在满足生效条件和生效安排的情况下，在可行权期内以行权价格购买1股公司人民币A股普通股股票的权利。
(二)限制性股票激励计划：该激励计划拟授予激励对象限制性股票148.90万股，涉及的标的股票种类为人民币A股普通股，约占该激励计划草案公布日公司股本总额的0.41%。其中首次授予108.90万股，预留40.00万股。
该激励计划首次授予的股票期权的行权价格为9.82元/股，首次授予的限制性股票的授予价格为4.91元/股。
该激励计划有效期为自股票期权授权之日和限制性股票授予之日起至激励对象获授的所有股票期权行权或注销和限制性股票解除限售或回购注销完毕之日止，最长不超过48个月。
该激励计划首次授予的激励对象共计133人，包括公司公吿该激励计划时在公司(含子公司，下同)任职的中层及管理骨干、核心技术/核心业务人员。不含独立董事、监事、单独或合计持股5%以上股份的股东或实际控制人及其配偶、父母、子女。
