皇朝家居(01198.HK)：擬透過集團於發起人的股權對SPAC進行間接投資
格隆匯2月14日丨皇朝家居(01198.HK)宣佈，公司間接全資附屬中意家俬初步透過於ACE Promoter(SPAC發起人之一)的股權對SPAC進行間接投資。
於2022年2月14日，公司獲SPAC吿悉其已經透過其獨家保薦人向聯交所提交上市申請，以申請上市。
SPAC為一家特殊目的收購公司，僅旨在與一名或多名De-SPAC目標公司進行DeSPAC交易。於物色De-SPAC目標公司時，SPAC擬將精力集中於亞洲經營生物技術以及科技、媒體及電訊產業的公司，重點放在中國。然而，SPAC並無排除有可能於任何其他商業行業、領域或地理區位尋求收購或業務合併機會的可能性。
於公吿日期，公司瞭解SPAC尚未就De-SPAC交易選擇或接觸任何特定的DeSPAC目標公司，亦未就De-SPAC交易進行任何實質性磋商或訂立任何具有約束力的協議。董事會主席兼執行董事謝錦鵬於2022年2月10日獲委任為SPAC的董事會主席兼非執行董事。
公吿稱，中國依然是亞洲發展最快的經濟體之一，並已從COVID-19疫情中表現出強勁的經濟復甦。公司預計，亞洲，尤其是中國的預期長期經濟增長，將為SPAC提供一系列強大、具有吸引力及前景廣闊的De-SPAC目標公司。公司相信，香港的首次公開發售市場依然強勁，特別是近年來生物技術以及科技、媒體及電訊公司的上市。公司相信，香港首次公開發售市場將繼續吸引創新公司及投資者，從而可令作為聯交所公開上市公司的SPAC對潛在的De-SPAC目標公司(包括但不限於生物技術以及科技、媒體及電訊產業的目標公司)更具吸引力。
因此，董事會認為投資是集團投資生物技術以及科技、媒體及電訊領域的良機，該領域具有快速增長的趨勢及良好的前景。作為其中一名發起人的投資者，集團將可間接受惠於De-SPAC交易順利完成時的潛在回報。
