羅博特科(300757.SZ)：擬購買斐控泰克78.65%股權 以間接控制德國經營實體FSG和FAG各80%股權、明起復牌
格隆匯2月9日丨羅博特科(300757.SZ)公佈發行股份及支付現金購買資產並募集配套資金預案，根據羅博特科與交易對方簽署的《發行股份及支付現金購買資產協議》，羅博特科擬以發行股份及支付現金的方式購買交易對方建廣廣智、蘇園產投、蘇州永鑫、超越摩爾、尚融寶盈、常州樸鏵合計持有的斐控泰克78.65%的股權(實繳出資7億元，佔斐控泰克實繳出資總額的82.35%)。
上市公司目前通過斐控晶微持有標的公司21.35%股權(實繳出資1.5億元，佔斐控泰克實繳出資總額的17.65%)，本次交易完成後斐控泰克將成為上市公司全資子公司。
斐控泰克系專門為收購目標公司而設立的特殊目的公司。本次交易前，斐控泰克通過境外SPV持有最終目標公司FSG和FAG各80%股權。本次交易的目的系通過收購斐控泰克從而間接控制德國經營實體FSG和FAG各80%股權。標的公司斐控泰克除通過境外SPV持有最終目標公司股權外，無其他經營業務。
羅博特科是一家研製高端自動化裝備和基於工業互聯網技術的智能製造執行系統軟件(MES)的高新技術企業。公司擁有完整的研發、設計、裝配、測試、銷售和服務體系，為光伏電池、電子及半導體、汽車精密零部件、食品藥品等領域提供柔性、智能、高效的高端自動化裝備及製造MES執行系統軟件。
公司自成立以來在電子及半導體行業就有所佈局，2013年公司研製出電子變壓器裝配測試系統，進入電子半導體領域。近年來，隨着持續的研發投入和技術開發的不斷深化，公司在持續領跑光伏高端智能設備行業的同時，長期佈局的半導體和微電子行業技術也已取得積極進展。
本次交易的目標公司主要從事半導體自動化組裝、檢測及測試設備和系統的設計、研發、生產和銷售，為光芯片、光電子器件及光模塊的自動化微組裝、封裝以及測試市場客户提供標準化設備以及定製化解決方案。主要產品包括光電子器件全自動組裝設備、高精度光纖耦合設備、光芯片貼片設備、芯片測試、視覺檢測、芯片堆疊設備等，在半導體、光通信、高功率激光器、激光雷達、傳感器等領域積累了一大批全球知名客户，在光芯片、光電子器件及光模塊的自動化微組裝方面具備全球領先的技術水平。根據中國證監會頒佈的《上市公司行業分類指引(2012年修訂)》，目標公司屬於專用設備製造業(C35)。
本次交易有助於拓展上市公司在半導體、光通信、激光器等領域的銷售渠道，提升公司在半導體自動化設備的技術水平，豐富公司自動化設備產品線，符合公司向電子半導體領域拓展的發展戰略。本次交易有利於上市公司優化業務佈局，提升上市公司抗風險能力。
此外，根據深圳證券交易所的相關規定，經公司申請，公司股票(股票簡稱：羅博特科，股票代碼：300757)將於2022年2月10日(星期四)上午開市起復牌。
