路暢科技(002813.SZ)：中聯重科將成為公司控股股東 明起復牌
格隆匯2月7日丨路暢科技(002813.SZ)公佈，2022年2月7日，公司接控股股東、實際控制人郭秀梅通知，郭秀梅擬轉讓其所持公司股份並進行控制權轉讓，控制權轉讓事項的交易對手方為中聯重科，具體如下：
郭秀梅及其配偶朱書成(合稱“承諾方”)於2022年2月7日與中聯重科簽署了《股份轉讓協議》，中聯重科擬受讓郭秀梅所持路暢科技3598.8萬股股份(佔目標公司截止公吿日總股本的29.99%，“標的股份”)，每股轉讓價格為人民幣21.67元，轉讓價款總額約人民幣7.80億元；
同時，郭秀梅簽署了《關於深圳市路暢科技股份有限公司之表決權放棄承諾》，自願在此次股份轉讓完成後放棄所持全部剩餘股份4299.969萬股股份(約佔目標公司截止公吿日總股本的35.83%)的表決權。
此次交易前，郭秀梅持有公司股份7898.769萬股，佔公司總股本的65.82%。此次交易完成後，郭秀梅還將直接持有公司4299.969萬股股份(“剩餘股份”)，約佔公司總股本的35.83%；中聯重科將持有公司3598.8萬股股份，佔公司總股本的29.99%。鑑於郭秀梅自願在此次股份轉讓完成後放棄所持全部剩餘股份的表決權，且根據《股份轉讓協議》的相關約定，中聯重科將有權改組董事會和管理層。因此此次交易完成後，中聯重科將成為公司單一擁有表決權份額最大的股東，即成為公司的控股股東；由於中聯重科無實際控制人，故公司將變更為無實際控制人狀態。
後續中聯重科將視屆時情況，依據相關法律法規、部門規章、規範性文件之要求向公司全體股東發起部分要約，擬收購股份的比例不低於公司總股本的18.83%。根據《股份轉讓協議》的約定，承諾方將根據中聯重科的要求積極提供支持和配合(包括但不限於促使公司董事會就要約收購出具致全體股東的報吿書並在公司董事會上對該議案投贊成票、接受中聯重科發出的要約邀請等)，以確保中聯重科在要約收購完成後持有的公司股份比例不少於48.82%。
公司股票將於2022年2月8日上午開市起復牌。
