華營建築(01582.HK)擬920萬港元收購英國一建築公司全部股權
格隆匯1月30日丨華營建築(01582.HK)宣佈,於2022年1月30日,公司與賣方中國浙江建設集團(香港)有限公司(公司其中一名控股股東)訂立購股協議,據此,公司有條件同意向賣方收購而賣方有條件同意向公司出售目標公司全部已發行股本,代價為920萬港元(視乎代價調整而定)。
目標公司乃指CR Construction (U .K .) Investments Company Limited,唯一資產為其於英國附屬公司CR Construction (U .K .) Company Limited全部已發行股本的權益,而英國附屬公司主要從事(i)為英國建築行業提供項目管理服務;及(ii)於英國提供建築服務。
於完成後,目標公司將成為公司的全資附屬公司,而目標集團的財務業績將於公司的財務報表合併入賬。
