新築股份(002480.SZ)：擬以所持通工汽車18.48%股權置換投資成都客車
格隆匯1月26日丨新築股份(002480.SZ)公佈，為落實四川省委、省政府《關於以實現碳達峯碳中和目標為引領，推動綠色低碳優勢產業高質量發展的決定》，推動“零碳四川”的方案實施，加快培育壯大四川新能源商用車產業，四川發展軌道交通產業投資有限公司(“發展軌道”)擬將四川新築通工汽車有限公司(“通工汽車”)與成都客車股份有限公司(“成都客車”)進行重組整合，把新成都客車打造成為四川省新能源商用車龍頭企業。
通工汽車全體股東將以各自持有的通工汽車全部股權認購此次成都客車發行的10394.78萬股，發展軌道以現金認購此次成都客車發行的2046.51萬股，溢價部分計入成都客車資本公積。根據《通工汽車評估報吿》中審計評估確認的截至審計評估基準日的通工汽車全部股權價值為22348.77萬元。成都客車投資估值為23294.44萬元，此次每股發行價格約2.15元。其中：
(一)發展軌道公司出資4400萬元現金認購成都客車約2046.51萬股。發展軌道持有通工汽車51%的股權評估價值為11397.87萬元，發展軌道以持有的51%通工汽車股權出資認購本次成都客車發行的5301.34萬股；
(二)雅安經濟開發區建設投資有限公司(“雅安經開”)持有的通工汽車20%股權評估價值為4469.75萬元，雅安經開以持有的20%通工汽車股權出資認購本次成都客車發行的2078.96萬股；
(三)公司持有的通工汽車18.48%股權評估價值為4131.06萬元，公司以持有的18.48%通工汽車股權出資認購此次成都客車發行的1921.42萬股；
(四)新築投資集團有限公司(“新築投資”)持有的通工汽車10.52%股權評估價值為2350.08萬元，新築投資以持有的10.52%通工汽車股權出資認購此次成都客車發行的1093.06萬股。
通工汽車由於市場拓展不理想，目前處於虧損狀態。而成都市場的市場容量大，財政實力強，要解決通工汽車目前的困境，依託四川省尤其是成都市場將是通工汽車的第一選擇，且重組整合成都客車是通工汽車進入成都市場的有效途徑。
