易鑫集團(02858.HK)附屬作為承租人與一汽智行訂立融資租賃協議
格隆匯1月25日丨易鑫集團(02858.HK)公佈，於2021年10月25日，公司的間接全資附屬公司上海易鑫(作為承租人)與一汽智行(作為出租人)訂立融資租賃協議，據此，承租人同意按總代價人民幣1.50億元分批向出租人出售若干租賃資產，而出租人同意根據相關租金付款時間表，於不超過36個月之適用租期內將租賃資產回租予承租人。各方同意，於適用租期屆滿後，在承租人根據融資租賃協議結清所有租金及應付賬款的前提下，出租人須將租賃資產的所有權轉回承租人，而出租人不會就租賃資產的質素作出任何擔保。
於2021年10月28日，上海易鑫同意按代價人民幣52,925,843.76元向出租人出售第一批租賃資產，而出租人同意根據十月租金付款時間表，於12個月之租期內將第一批租賃資產回租予承租人("十月融資租賃安排")。於2022年1月25日，上海易鑫同意按代價人民幣56,365,035.57元向出租人出售第二批租賃資產，而出租人同意根據一月租金付款時間表，於25個月之租期內將第二批租賃資產回租予承租人("一月融資租賃安排")。
此外，於2021年6月1日，上海易鑫(作為出讓人)與一汽租賃(作為受讓人)訂立融資租賃資產轉讓協議，據此，出讓人同意向受讓人轉讓融資租賃資產，而受讓人同意收購該等融資租賃資產並向出讓人支付最高金額為人民幣5億元的轉讓代價。各方同意，於出讓人根據有關租金付款時間表支付所有應付賬款後，融資租賃資產的所有餘下權利及權益須自動轉回出讓人，而受讓人不再享有融資租賃資產的任何其他權利及權益。
於2021年6月3日，上海易鑫同意向受讓人轉讓若干融資租賃資產的所有權，而受讓人同意收購該等融資租賃資產，並向出讓人支付轉讓代價人民幣106,133,462.40元("六月融資租賃資產轉讓安排")。各方同意，於出讓人根據六月租金付款時間表支付所有應付賬款後，融資租賃資產的所有餘下權利及權益須自動轉回出讓人。
